Pavmed Inc. annual report, FY2022

PAVmed Inc. 2022 Form 10-K Summary

Business context and reporting period

PAVmed is a commercial-stage medical technology company reporting one operating segment across diagnostics, medical devices, and digital health. This Form 10-K covers the fiscal year ended December 31, 2022, and consolidates majority-owned Lucid Diagnostics and Veris Health. The company’s primary commercial priorities are Lucid’s EsoGuard test and EsoCheck collection device, and Veris’s Cancer Care Platform.

EsoGuard is marketed as a laboratory-developed test performed at Lucid’s CLIA-certified laboratory; EsoCheck has FDA 510(k) clearance as a cell-collection device. The Veris Cancer Care Platform is a remote patient monitoring and digital cancer-care offering. The filing describes several other products in development, but says resources are focused primarily on commercializing EsoGuard and Veris.

Gross margin was negative: FY 2022 cost of revenue exceeded revenue by approximately $3.2 million. The filing attributes the increase in operating costs principally to higher headcount, commercial and laboratory operations, professional services, and product development. Stock-based compensation was $19.5 million, a significant non-cash expense.

At December 31, 2022, total assets were $53.980 million, total liabilities were $43.046 million, and consolidated stockholders’ equity was $10.934 million. PAVmed parent stockholders’ equity was a deficit of $9.681 million, offset in consolidated equity by $20.615 million of noncontrolling interests. Current assets were $43.926 million and current liabilities were $41.200 million.

Senior secured convertible notes had $32.747 million of face principal outstanding and a $33.650 million reported fair value at year-end. The notes bear 7.875% stated interest, mature in 2024, and are convertible at a stated $5.00 per share, subject to note terms and adjustments. PAVmed received $35.227 million of net proceeds from 2022 note issuances. The company also incurred a $5.434 million debt-extinguishment loss after settling approximately $6.0 million of principal and $0.4 million of interest with 7.19 million shares.

Material changes versus the prior year

  • Revenue fell by $0.123 million, mainly because the RDx commercialization arrangement ended in February 2022; revenue from testing in Lucid’s own laboratory partly offset the decline.
  • Operating expenses increased by $36.411 million. Sales and marketing rose to $19.318 million from $8.895 million; general and administrative expenses to $41.041 million from $25.420 million; and research and development to $25.547 million from $19.847 million.
  • Net loss attributable to PAVmed common stockholders widened to $89.264 million from $50.630 million. Cash used in operations increased by $30.394 million, while year-end cash declined by $37.514 million.
  • Lucid established its own CLIA-certified, CAP-accredited laboratory in 2022. In February 2023 it terminated RDx management services and assumed laboratory operations internally. The termination reduced remaining related payments to $0.725 million from $3.450 million, a stated $2.725 million saving, settled with Lucid shares rather than cash.
  • Veris signed its first Cancer Care Platform customer in December 2022 and subsequently signed agreements with two additional cancer centers; the filing does not quantify revenue from these arrangements.

Outlook, risks, contingencies, and unusual items

  • Funding and liquidity: PAVmed reports recurring operating losses and expects losses to continue. Management stated that cash on hand and committed debt and equity sources were expected to fund operations for one year from the March 13, 2023 financial-statement issuance date. This depends on financing availability and other assumptions; no profitability or revenue guidance is provided.
  • Debt covenants: The notes require at least $8 million of available cash and impose debt-to-market-capitalization and minimum-market-capitalization tests. PAVmed reported covenant noncompliance at various times, including December 31, 2022; the investor waived the cited noncompliance, and the company reported compliance as of the Form 10-K date. Failure to meet note conditions could trigger cash repayment, default, or enforcement against pledged assets.
  • Dilution and financing: PAVmed sold shares to meet note repayment obligations and may need further equity or debt financing. Subsequent to year-end, Lucid raised $13.625 million gross through preferred stock; the preferred terms include conversion, liquidation preference, and share-linked dividends. A proposed Lucid convertible note of up to $11.1 million was subject to closing conditions and had not been issued as of the filing date.
  • Commercialization and reimbursement: Medicare’s stated payment determination for EsoGuard is $1,938.01, but Medicare coverage remained unresolved. A proposed local coverage determination was described as a work in progress, not a final coverage decision. Lucid reported commercial-insurer agreements providing access to more than 70 million patients, but coverage, payment, and collection are not assured. Clinical utility evidence remains important to reimbursement and adoption.
  • Clinical and regulatory execution: Lucid delayed its BE-1 and BE-2 trials while prioritizing other clinical-utility studies. EsoGuard’s clinical utility, broader regulatory pathway, and market acceptance remain uncertain. Management also identified competition, manufacturing and single-laboratory capacity, reimbursement, intellectual-property, privacy, and healthcare-regulatory risks.
  • Nasdaq listing: PAVmed received a minimum-bid-price deficiency notice, with a June 27, 2023 deadline to regain compliance. A proposed 1-for-5 to 1-for-15 reverse stock split and reduction in authorized shares required stockholder approval; continued listing was not assured.
  • Unusual and subsequent items: PAVmed paid $0.450 million in December 2022 for a court-approved fee award in a stockholder matter. A separate $0.450 million settlement with EF Hutton/Benchmark was paid in February 2023 and had been accrued at year-end. PAVmed also reported covenant waivers and significant share issuance to settle debt.

The independent auditor issued an unqualified opinion on the consolidated financial statements. The audit identified valuation of convertible notes as a critical audit matter because of the complexity and subjectivity of the fair-value model and assumptions. Management concluded that disclosure controls and internal control over financial reporting were effective as of December 31, 2022; the auditor did not provide an internal-control attestation.

Important facts for investors to verify
