Material changes versus 2014

  • Net income fell about 34%, principally due to the higher loan-loss provision and $11.3 million of acquisition-related costs. Total expenses rose 35% to $115.1 million, reflecting acquisitions, staffing, occupancy and amortization costs.
  • Net interest income rose 40%, mainly on acquired and organic loan growth. Acquisition-related accretion contributed approximately 17 basis points to the 2015 net interest margin.
  • NB&T added approximately $629.5 million of deposits and $384.6 million of loans at acquisition-date fair value; Peoples issued $76.0 million in common shares as part of the consideration.
  • Net charge-offs were $15.2 million, versus net recoveries of $0.5 million in 2014. A single commercial relationship accounted for $13.1 million of 2015 charge-offs. Criticized loans increased $56.8 million.
  • Nonperforming loans rose to $19.5 million from $11.2 million; allowance coverage of nonperforming loans declined to 86.05% from 159.58%.
  • Peoples repaid its $12.0 million parent-company term loan in July and repaid approximately $52.1 million of long-term FHLB advances, recording a $0.5 million debt-extinguishment loss. Short-term borrowings increased.

Outlook, commentary and risks

Management forecast 2016 revenue growth of 4%–6%, after normalizing 2015 for a full year of NB&T and excluding 2015 acquisition costs; low-single-digit expense growth; and an efficiency ratio below 65%. It expected period-end loans to grow 6%–8%, net interest margin to remain in the low 3.50% range, and the 2016 net charge-off rate to normalize near the low end of its 0.20%–0.30% long-term range. These are management expectations, not guarantees. Management identified loan growth, expense discipline, asset quality and fee-business expansion as priorities, and anticipated comparable pension settlement charges to 2015.

Key sensitivities include commercial-credit deterioration, real-estate collateral values, economic weakness in local markets and oil-and-gas activity, competition for loans and deposits, interest-rate and yield-curve movements, acquisition integration, regulatory costs, and cybersecurity and third-party operational risks. Management reported no securities as other-than-temporarily impaired and no goodwill impairment at year-end. Legal proceedings were described as not expected to materially affect financial position, results or liquidity. The bank converted to an Ohio state-chartered Federal Reserve member bank on December 30, 2015, with lower examination costs expected in 2016.

Liquidity coverage ratios were 1.8x on forecast cash sources and uses and 7.4x including contingent sources, both within policy limits. Management said capital remained above well-capitalized thresholds; the bank had approximately $2.6 million available for dividends to the parent without regulatory approval at year-end. A $20 million share-repurchase authorization was approved in November; no shares were repurchased under it in 2015, while $4.5 million of repurchases had occurred by February 24, 2016.

Important facts for investors to verify

  • Details, collectability and any subsequent developments concerning the $13.1 million commercial relationship charge-off and the $56.8 million increase in criticized loans.
  • Whether higher nonperforming loans and lower allowance coverage indicate further credit costs, particularly in commercial real estate and the skilled-nursing exposure described in the filing.
  • Whether management’s 2016 loan-growth, margin, revenue, expense and credit-loss expectations are achieved, and how much results depend on acquisition accretion and integration.
  • Capital and dividend capacity after share repurchases, regulatory limits, and the expected growth in assets and funding needs.
  • Acquisition-related goodwill and intangible-asset balances, and the assumptions supporting management’s conclusion that goodwill was not impaired.
