Material changes and unusual items
- NB&T added 22 branches and, at acquisition, $384.6 million in loans and $629.5 million in deposits. Peoples issued $76.0 million of common shares as part of the $102.7 million total consideration. The acquisition substantially increased balance-sheet size and share count.
- Loan-loss provision materially increased: Q3 included a specific reserve for a large commercial relationship, loan growth and higher criticized loans. Four large commercial real estate loans were downgraded during the quarter. Net charge-offs were $750,000, an annualized 15 basis points.
- Acquisition-related costs weighed on year-to-date earnings. The filing reports $9.9 million of acquisition costs in the income statement discussion and $10.5 million of acquisition-related expenses in its transaction summary; the stated amounts reflect different descriptions/scopes in the filing. Q3 included $109,000 of acquisition-related expenses. A $520,000 loss on early repayment of FHLB advances was recorded in Q1.
- Available-for-sale securities had a $12.7 million net unrealized gain at quarter-end, contributing to other comprehensive income. Management said unrealized security losses were principally related to interest rates and spreads and did not consider securities other-than-temporarily impaired.
Outlook, risks and contingencies
The filing provides no specific earnings guidance. Management estimated a 2015 effective tax rate of 29%–30% and targeted a 65% efficiency ratio excluding acquisition-related and other non-core costs. The Federal Reserve had indicated that short-term rates might begin rising in Q4 2015. In a modeled parallel 100-basis-point increase, estimated net interest income rose 2.9%, while economic value of equity fell 4.2%; management cautioned that actual rate movements may not be parallel.
Key risks include NB&T integration and acquisition costs, worsening loan quality and credit-loss estimates, interest-rate and yield-curve changes, deposit and funding competition, liquidity and capital requirements, regulatory changes, and cybersecurity or third-party service-provider risks. Loan commitments totaled $383.0 million and standby letters of credit $22.5 million. Management did not expect current off-balance-sheet activities to materially affect future results or financial condition. Management said pending legal matters were not expected to have a material adverse effect; no material changes to previously reported risk factors were identified. Disclosure controls were deemed effective.
