  • Year-end cash and cash equivalents were $61.5 million, up from $53.8 million. Cash flow from operations was $31.5 million; investing activities used $14.2 million and financing activities used $9.7 million.
  • Stockholders’ equity was $340.1 million. Peoples’ reported total capital ratio was 15.48%, Tier 1 ratio 14.32% and leverage ratio 9.92%. Peoples Bank was also classified as well capitalized; its respective ratios were 13.3%, 12.2% and 8.5%.
  • Asset quality remained comparatively sound, but nonperforming loans increased to $11.2 million, or 0.69% of loans, from $7.2 million, or 0.60%. The allowance for loan losses was $17.9 million, equal to 159.6% of nonperforming loans, versus 237.9% a year earlier. Net recoveries were $0.5 million.

Material Changes Versus the Prior Period

  • Net interest income grew 25%, mainly from loan growth, acquisitions, acquisition-related accretion and lower funding costs. Net interest margin increased 22 basis points.
  • Despite higher net interest income and an 8% increase in non-interest income, net income declined about 5%. Expenses increased substantially, reflecting acquisition costs, added employees, pension settlement charges and higher operating costs; the efficiency ratio worsened.
  • Peoples completed three bank acquisitions in 2014—Midwest, Ohio Heritage and North Akron—and acquired an insurance agency. Management attributed approximately $464 million of asset growth to the completed acquisitions. Organic loan growth was 12%.
  • Common equity increased through acquisition-related share issuance and a private placement that raised $40.2 million net. Common shares outstanding increased to 14.84 million from 10.61 million.

Outlook, Risks and Unusual Items

  • Management expected the NB&T merger to close in the first quarter of 2015, subject to shareholder approvals and other conditions. NB&T operates 22 branches; consideration is 0.9319 Peoples share plus $7.75 cash per NB&T share.
  • For 2015, management forecast loan growth of 7%–9%, a net interest margin in the low 3.50% range, and fee revenue of 35%–40% of total revenue. It targeted an efficiency ratio below 65% in the second half of 2015, excluding one-time costs, and expected the investment portfolio to fall to 25% of assets by year-end.
  • Management expected net charge-offs to move toward the low end of its 0.20%–0.30% long-term range and did not expect the allowance ratio to fall materially below 1.48% of originated loans. These are forward-looking estimates, not guarantees.
  • Unusual costs included $5.1 million of acquisition-related expenses and $1.4 million of pension settlement charges. Mortgage banking income declined as refinancing activity slowed. Management anticipated higher total expenses in 2015 from the full-year effect of acquisitions.
  • Key risks include successful integration and realization of acquisition benefits; completion of the NB&T transaction; commercial real estate and other credit exposure; interest-rate and funding changes; regulatory and compliance costs; and operational or cybersecurity disruptions. A 100-basis-point parallel rate increase was modeled to raise 12-month net interest income by 4.2% while reducing economic value of equity by 4.2%.
  • Management reported no material adverse effect expected from ordinary-course legal proceedings. The independent auditor issued unqualified opinions on the financial statements and internal control; management also concluded internal control was effective at year-end.

Important Facts for Investors to Verify

  1. Whether the NB&T merger closed on the expected terms and timing, and whether integration costs and projected savings were achieved.
  2. Whether loan growth, credit quality and the allowance remain consistent with management’s 2015 assumptions, particularly given the increase in nonperforming loans.
  3. Whether expense growth moderates and the stated margin, fee-income and efficiency targets are met, excluding one-time items.
  4. How acquisition-related share issuance and any further capital raising affect per-share earnings, tangible book value and shareholder returns.
  5. Whether deposit growth, borrowing needs and interest-rate movements support the company’s liquidity and profitability outlook.
