P3 Health Partners Inc. quarterly report, Q2 FY2021

Business context and reporting period

This is Foresight Acquisition Corp.’s unaudited Form 10-Q for the quarter and six months ended June 30, 2021—not a standalone P3 Health Partners filing. Foresight was a blank-check company and had no operating revenue or business operations before a business combination. It signed a proposed merger with P3 Health Group Holdings, LLC on May 25, 2021; the transaction had not closed by quarter-end.

Financial results and liquidity

  • Revenue and margins: No operating revenue; margins are not meaningful for this pre-combination SPAC.
  • Net loss: $10.5 million for Q2 and $5.7 million for the first six months of 2021. Q2 included $9.9 million of noncash warrant fair-value expense; the six-month period included $4.6 million.
  • Operating costs: General and administrative expenses were $639,534 for Q2 and $1.12 million for the six months. Interest income was $10,449 for each period.
  • Cash flow: Six-month operating cash use was $953,782. IPO and private-placement proceeds funded $316.25 million placed in the trust account; cash outside the trust was $583,701 at June 30.
  • Assets and liabilities: Total assets were $317.1 million, including $316.3 million in the trust account. Total liabilities were $15.9 million, primarily $15.7 million of warrant liabilities. No long-term debt was reported.
  • Liquidity: Foresight also disclosed a sponsor commitment for $300,000 in loans on August 19, 2021. Trust funds were principally reserved for a business combination and were not ordinary operating liquidity.

Material changes versus the prior comparable period

The filing does not provide prior-year quarterly operating results for comparison; Foresight began its IPO in February 2021 and had no operations. Compared with December 31, 2020, cash rose to $583,701 from $179,512 and the trust account held $316.3 million; warrant liabilities were newly recorded at $15.7 million. The warrant accounting change drove substantial reported earnings volatility and is not an operating cash expense.

Transaction, outlook, risks and unusual items

  • Proposed P3 transaction: The stated aggregate merger consideration was $2.126 billion. Assuming no public-share redemptions and $208.7 million of PIPE proceeds, consideration was expected to include $181.1 million of P3 units and $315.0 million cash, subject to adjustment if post-transaction cash falls below $180 million. A separate merger closing condition required at least $400 million of aggregate cash after specified adjustments, including redemptions and expenses. Completion remained subject to approvals and other conditions.
  • PIPE: Investors agreed to purchase 20,870,307 Foresight Class A shares at $10 each, contingent on the transaction closing.
  • Deadline and contingency: Foresight was required to complete a business combination by February 12, 2023, subject to possible extension; otherwise, it generally must liquidate and redeem public shares, while warrants may expire worthless.
  • Accounting and controls: Following SEC staff guidance, Foresight classified its warrants as liabilities and remeasured them at fair value. Management reported a material weakness in internal control over financial reporting related to the warrant restatement; disclosure controls were therefore not effective as of June 30. Remediation was ongoing.
  • Other risks and costs: Management said the COVID-19 impact on the company or its search was not readily determinable. The company reported no legal proceedings. It also expected to pay underwriters a 3.5% fee on IPO gross proceeds upon a completed business combination.

Important facts for investors to verify

  1. Whether the P3 transaction closed, and the final redemptions, PIPE funding, cash condition and consideration mix.
  2. Progress in remediating the material weakness and whether subsequent filings report further accounting or control issues.
  3. Future warrant fair-value changes, which may materially affect reported earnings without corresponding operating cash flows.
  4. Available cash outside the trust, sponsor-loan terms and any additional financing needed to complete the transaction or fund operations.
  5. The business-combination deadline or any extension, and the consequences for public shares and warrants if no transaction is completed.
