PLUMAS BANCORP annual report, FY2012

Plumas Bancorp — FY 2012 Form 10-K

Reporting period: Fiscal year ended December 31, 2012. This is an annual filing, not a standalone fourth-quarter report. Plumas Bancorp is a California bank holding company operating Plumas Bank, a community bank serving Northeastern California and Northern Nevada.

Financial performance and condition

  • Profitability: Net income was $1.95 million, up from $941,000 in 2011. Net income available to common shareholders was $1.266 million, or $0.26 per diluted share, compared with $257,000, or $0.05, in 2011. Return on average assets was 0.42%; return on average common equity was 4.3%.
  • Net interest and revenue: Net interest income increased 2% to $17.151 million. Net interest margin rose to 4.18% from 4.08%. Total noninterest income declined to $6.596 million from $7.162 million; lower gains on loan and securities sales were partly offset by higher deposit service charges. Noninterest expense fell 4.5% to $18.377 million.
  • Credit costs and asset quality: The loan-loss provision declined to $2.350 million from $3.500 million. Net charge-offs were $3.572 million, down from $3.916 million. Nonperforming loans fell to $13.698 million from $16.829 million, and nonperforming assets to $19.034 million from $25.509 million. The allowance was $5.686 million, or 1.80% of gross loans, versus $6.908 million, or 2.35%, a year earlier.
  • Balance sheet: Total assets were $477.802 million, up from $455.349 million. Gross loans were $315.057 million and net loans $310.271 million. Deposits rose 5% to $411.562 million; shareholders’ equity increased to $41.850 million.
  • Cash flow and liquidity: Operating cash flow was $5.805 million. Investing activities used $43.726 million, principally reflecting securities purchases and loan growth; financing activities provided $19.520 million. Cash and cash equivalents decreased $18.401 million to $44.675 million. Available-for-sale securities totaled $80.964 million. The Bank reported no FHLB borrowings outstanding and access to borrowing capacity of up to $41 million at its existing FHLB stock level.
  • Debt and capital: Junior subordinated debentures were $10.310 million; repurchase agreements were $7.377 million. At year-end, the Bank’s Tier 1 leverage, Tier 1 risk-based, and total risk-based capital ratios were 10.4%, 14.1%, and 15.3%, respectively. The Bank was above the stated well-capitalized thresholds.

Changes versus 2011

  • Net income more than doubled, principally as the provision for loan losses and noninterest expense declined; net interest income also improved modestly.
  • Deposits increased $20.4 million, with growth in noninterest-bearing, savings, and money-market balances partly offset by a $9.8 million decline in time deposits. Net loans increased about $22.8 million.
  • Credit indicators improved overall, including lower nonperforming loans, criticized loans, and OREO. However, the allowance-to-loans ratio declined, and new loans entered nonperforming status during the year.
  • OREO declined to $5.295 million from $8.623 million. The Bank recorded $907,000 of OREO valuation provision, reflecting write-downs on properties, while loss on OREO sales was only $16,000 versus $606,000 in 2011.

Outlook, risks, and notable items

  • Outlook: The filing provides no numeric earnings or growth guidance. Management said it expected no common cash dividend in 2013 and considered available funding sources adequate for foreseeable operations.
  • Regulatory status: An FDIC/California DFI informal agreement was terminated effective January 24, 2013; the Bank had met its 9% Tier 1 leverage target and its classified-asset measure was 32% at year-end. A separate Federal Reserve agreement remained in effect, requiring prior written approval for specified dividends, debt payments, new debt, and stock transactions.
  • Capital payment arrears: At December 31, 2012, cumulative unpaid Series A preferred dividends were $1.643 million and deferred interest on trust-preferred-related debt was $906,000, each representing eleven quarterly payments. With FRB approval, the Company paid current and deferred trust-preferred interest on March 15, 2013. The filing does not report a comparable resolution of the preferred-dividend arrears.
  • Concentration and credit risks: About 78% of the loan portfolio was real-estate-secured, and operations were concentrated in Northeastern California and Northwestern Nevada. Results are exposed to local economic and property-market conditions and regional disasters. Construction and land-development loans remained a higher-risk category. Troubled debt restructurings totaled $12.296 million at year-end.
  • Other exposures: Unfunded loan commitments were $76.030 million, plus $110,000 of letters of credit; actual funding needs may be lower because some commitments expire unused. A $7.377 million repurchase-agreement product is not FDIC-insured. Management said ordinary-course legal matters were not expected to materially affect results.
  • Accounting and audit: Management changed its loss-history period for estimating the allowance in 2012, increasing the required allowance by approximately $250,000. The independent auditor issued an unqualified opinion on the financial statements; the auditor did not attest to internal control effectiveness. Management concluded disclosure controls and internal control over financial reporting were effective.

Key facts for investors to verify

  • Whether credit improvement continues and whether new problem loans, charge-offs, or collateral-value declines require additional reserves.
  • How the reduced allowance coverage compares with the remaining impaired, nonperforming, and restructured loan exposures.
  • The status of the Federal Reserve agreement, dividend and debt-payment restrictions, and the unpaid Series A preferred dividends.
  • Whether deposit growth and liquidity remain durable as time deposits mature, and how the non-FDIC-insured repurchase balances behave.
  • Whether lower loan-sale gains, low investment yields, and OREO valuation costs affect earnings in subsequent periods; the filing provides no formal 2013 earnings guidance.
