Management attributed the sales decline mainly to lower Debit and Credit product volumes, especially eco-focused and EMV cards. Higher Card@Once services and price increases implemented primarily in 2022 partly offset the decline. Lower sales and higher material costs reduced gross profit and margin. FY2023 interest expense was $26.9 million, versus $29.6 million in FY2022; the effective tax rate rose to 30.4% from 25.7%.
Segments and balance sheet
- Debit and Credit: Sales of $361.1 million, down 7.6%; gross margin was 35.1%, versus 36.9%.
- Prepaid Debit: Sales of $84.2 million, down 2.2%; gross margin was 34.1%, versus 36.6%. Management cited lower existing-customer volumes and higher labor costs following the transition from temporary to permanent workers.
- Liquidity: Cash was $12.4 million at year-end. The company reported $74.7 million of available capacity under its $75 million asset-based revolver, with no revolver borrowings outstanding.
- Debt: Long-term debt, net of financing costs, was $265.0 million, compared with $285.5 million a year earlier. Senior Notes had $267.9 million principal outstanding, bear interest at 8.625%, and mature March 15, 2026.
- Other balance-sheet items: Current assets were $165.4 million and current liabilities $49.4 million. Stockholders’ deficit was $51.9 million. Total assets were $293.7 million.
Outlook, risks and unusual items
- The filing provides no quantified revenue, earnings or margin guidance. Management says operating cash flow is expected to be affected in Q1 2024 by a $5.0 million payment under an agreement with the former CEO. It also anticipates higher inventory in 2024 related to its chip-capacity agreement.
- The company’s supplier capacity reservation agreement runs through 2025. Its total minimum non-cancellable commitment was $194.9 million; $125.3 million remained at year-end, including $77.0 million expected to be paid in the next 12 months. Total outstanding purchase obligations were approximately $138.0 million.
- The Fort Wayne facility lease expires in January 2026 with no current renewal option. CPI is relocating and modernizing the operation, with work expected to extend into 2025. A February 2024 build-to-suit lease provides for annual base rent of $0.9 million over ten years, subject to increases and extension options.
- FY2023 included $7.0 million of compensation related to an executive retention agreement; stock-based compensation expense increased to $7.5 million from $3.5 million. The company also completed a $17.1 million principal repurchase of Senior Notes during 2023.
- The board authorized up to $20 million of common-stock repurchases through December 31, 2024. CPI repurchased 13,180 shares for approximately $0.3 million in 2023 and entered into a related-party agreement with majority stockholder Parallel49 involving additional share purchases tied to open-market repurchases.
- Key risks include dependence on a major customer (18% of 2023 sales), concentrated chip sourcing (72% of purchased microchips and antennas from one supplier), demand and inventory volatility, inflation and supply-chain disruption, cyber and data-security events, competition and substitution by digital payments, and debt refinancing and covenant constraints.
- A patent-infringement case concerning contactless antenna technology remains stayed pending patent review. Three of four asserted patents were invalidated and the related appeals dismissed; one patent remains under review. CPI recorded no liability and says the possible loss cannot currently be estimated. The filing also describes a Delaware unclaimed-property voluntary disclosure review; any potential loss is not reasonably estimable.
- Management and KPMG reported effective internal control over financial reporting as of year-end; KPMG issued unqualified opinions on the financial statements and internal controls.
Investor verification priorities
- Track product volumes, especially Debit and Credit cards, and whether Card@Once and services growth can offset weaker product sales.
- Assess gross-margin recovery against materials, labor, pricing and inventory trends.
- Review cash generation, revolver availability, the 2026 debt maturity and refinancing options for the 8.625% Senior Notes.
- Monitor chip-supplier concentration, the remaining capacity-reservation commitment and the Fort Wayne relocation’s cost and execution.
- Follow the former CEO payment, related-party repurchases with Parallel49, and developments in the patent and unclaimed-property matters.
