ProQR Therapeutics N.V. — 2019 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2019; filed March 31, 2020. This is an annual report, not a standalone fourth-quarter filing, and it does not provide separate Q4 financial results. Financial statements are audited and prepared under IFRS, with amounts generally reported in euros.

Business context

ProQR is a clinical-stage biotechnology company developing RNA-based medicines for rare genetic diseases, with a focus on inherited retinal disorders. It had no products on the market and had generated no product or royalty revenue. Its lead clinical programs included sepofarsen for LCA10, QR-421a for Usher syndrome and related retinal disease, and QR-1123 for autosomal dominant retinitis pigmentosa. The company also had earlier-stage programs and its Axiomer RNA-editing platform.

There were no product sales, so conventional gross margin measures are not meaningful. Cash used in operating activities was €43.970 million, versus €28.493 million in 2018; investing activities used €0.580 million. Financing activities provided €50.199 million, primarily reflecting net proceeds of €48.550 million from an October 2019 share offering. Year-end borrowings were €13.052 million, including government innovation credit and convertible loans; lease liabilities were €0.508 million.

Material changes versus 2018

  • R&D spending increased by €16.977 million, principally with progression of sepofarsen, QR-421a and QR-1123 clinical programs, increased external study and staffing costs, and payments under the Ionis license.
  • Net loss increased by €19.660 million. Lower grant and other income partly contributed to the higher operating loss.
  • Operating cash use increased by €15.477 million. Cash nevertheless rose by €6.370 million, supported mainly by the 2019 equity offering and currency effects.
  • Weighted-average shares outstanding increased to 41.0 million from 34.1 million. The filing reports 49,745,687 shares outstanding at year-end; the financial statements show 53,975,838 issued shares, including 4,230,151 treasury shares.

Outlook, risks and unusual items

  • Management estimated that year-end cash would fund planned operations into the second half of 2022. This estimate depended on assumptions and could change with development costs, trial timing, financing needs or other events.
  • COVID-19 developments disclosed after year-end had delayed ongoing and scheduled trials, including the pivotal sepofarsen trial. Management described mitigation efforts, but could not assure that enrollment and development timelines would recover as planned.
  • Sepofarsen’s completed Phase 1/2 study showed reported improvements in vision-related measures, with lens opacities and some retinal findings among reported safety observations. These early results do not establish efficacy in the ongoing pivotal trial.
  • March 2020 interim QR-421a results, reported after year-end but before filing, showed no serious adverse events in the small group treated to date; two of eight treated patients were reported to have benefit across multiple measures. These preliminary findings require confirmation in the continuing study.
  • Potential future obligations include up to $37.5 million in milestone payments to Foundation Fighting Blindness following QR-421a’s first commercial sale, and Ionis development and sales milestone payments plus royalties stated in the filing as 20% of net sales. These are contingent obligations, not current product-sale costs.
  • Research and development commitments were €19.472 million at year-end, including €10.234 million due in 2020. The company also disclosed a €13.377 million lease commitment and significant future lease payments under its new facility agreement.
  • The company reported no material litigation proceedings at year-end, no off-balance-sheet arrangements and no dividends. It reported effective disclosure controls and internal control over financial reporting; the auditor gave unqualified opinions on the financial statements and internal controls.
  • After year-end, ProQR entered a new at-the-market sales agreement allowing up to $75 million of share offerings, subject to the agreement’s terms. Future use could dilute existing shareholders.

Important facts for investors to verify

  • Whether COVID-19-related trial delays affected enrollment, timelines, costs or the stated cash runway, and how much cash remained after year-end.
  • Subsequent clinical data, safety findings and regulatory milestones for sepofarsen, QR-421a and QR-1123; the cited results are early-stage or interim.
  • Expected cash burn, financing plans and any use of the $75 million ATM facility, including the resulting dilution.
  • Timing and potential funding impact of contingent license, milestone, royalty and research commitments, especially FFB and Ionis obligations.
  • The share-count presentation: reconcile year-end issued shares, treasury shares and outstanding shares when assessing dilution and ownership.
