PTC THERAPEUTICS, INC. annual report, FY2020

PTC Therapeutics, Inc. — FY2020 Form 10-K

Reporting period: Fiscal year ended December 31, 2020. This is an annual filing, not a standalone fourth-quarter report; selected Q4 figures are noted below. Amounts are in U.S. dollars unless stated otherwise.

Business context

PTC is a global rare-disease biopharmaceutical company with commercial products and a development pipeline spanning Duchenne muscular dystrophy, SMA, gene therapy, metabolic disease, and other areas. FY2020 product sales were led by Translarna and Emflaza. Evrysdi, developed with Roche and the SMA Foundation, received U.S. approval in August 2020.

Net product revenue comprised $191.9 million from Translarna and $139.0 million from Emflaza; U.S. product sales were $139.0 million and non-U.S. product sales were $194.4 million. Collaboration revenue rose to $42.6 million, principally from Roche milestones for Evrysdi; royalty revenue was $4.8 million. The filing does not present a single gross-margin figure. Operating and net losses were approximately 113% and 115% of revenue, respectively.

R&D expense increased 86% to $477.6 million, including $53.6 million of acquisition-related and other Censa expenses and $41.4 million for dedicated AADC manufacturing capacity. SG&A rose 21% to $245.2 million. Q4 2020 revenue was $118.9 million and net loss was $74.4 million, compared with Q4 2019 revenue of $96.5 million and net loss of $77.7 million.

Financing cash flow was $668.7 million, including $650.0 million from selling 42.933% of PTC’s future Evrysdi royalties to RPI. PTC retained 57.067% of the royalties and the remaining potential milestone rights. The related royalty-sale liability was $679.8 million at year-end, including $21.0 million current and $658.7 million noncurrent; it is separate from reported total debt. Management said existing liquidity and expected cash flows should fund operations and capital needs for at least 12 months, while noting estimates depend on assumptions.

Material changes and unusual items

  • Product revenue grew 14%, driven mainly by Emflaza prescriptions and compliance, with additional growth in Translarna and Tegsedi and the Waylivra launch.
  • R&D spending increased substantially as PTC advanced gene therapy, Bio-e, and other pipeline programs and acquired Censa. The Hopewell facility lease began in 2020; cGMP clinical manufacturing was expected to start in the second half of 2021.
  • Other income was $85.2 million, including a $54.6 million unrealized foreign-exchange gain on an intercompany loan and unrealized gains of $14.3 million on a ClearPoint equity investment and $19.3 million on its convertible security. These gains partly offset the operating loss and are not product operating performance.
  • Interest expense increased to $56.4 million, mainly reflecting the royalty-sale liability and convertible notes. Year-end convertible-note principal was $437.5 million: $150.0 million of 3.00% notes due 2022 and $287.5 million of 1.50% notes due 2026.
  • Cash and securities rose despite operating cash use, primarily because of the $650.0 million royalty-sale proceeds. Cash and cash equivalents alone declined to $208.8 million from $288.0 million.
  • The 2020 net loss included $35.2 million of income tax expense. PTC reported an accumulated deficit of $1,628.9 million and said it expects continued operating losses in 2021.

Outlook, risks, and contingencies

  • Translarna: EEA authorization is conditional, subject to annual review, and currently effective through August 5, 2021 unless extended. Study 041 was fully enrolled in Q4 2020; its final report is due by the end of Q3 2022. Study 045 did not meet its prespecified primary endpoint. U.S. approval remains uncertain; management planned to discuss the results and broader evidence with the FDA and, subject to positive Study 041 results, potentially resubmit an NDA in 2022.
  • Pipeline milestones: PTC-AADC BLA submission and expected EMA committee opinion were targeted for Q2 2021, with COVID-19-related delays disclosed. PTC923 Phase 3 initiation was expected in mid-2021; PTC299 COVID-19 trial data were expected in H2 2021. These are management expectations, not assurances.
  • COVID-19: The pandemic disrupted clinical-site access, regulatory work, and Brazilian centralized purchase orders for Translarna, creating potential revenue volatility. PTC reported no material supply issues for patients to date but warned of possible further delays and disruption.
  • Financial and commercial risks: Continued losses and operating cash use, reimbursement and pricing pressure, reliance on third-party manufacturers, competition, and the large contingent milestone obligations from acquisitions could affect results and funding needs. PTC’s convertible notes and royalty-sale liability add financing obligations.
  • Contingencies: Agilis-related contingent consideration was $240.4 million at year-end. Potential payments under the Censa, BioElectron, Agilis, and other agreements could be material if development, regulatory, or sales milestones are achieved. PTC reported no material legal proceedings.

Important facts for investors to verify

  • Progress and outcome of the Translarna annual EEA renewal and Study 041, including the Q3 2022 reporting deadline.
  • Whether the FDA considers Study 045 and the broader clinical and real-world evidence sufficient to support any U.S. Translarna approval pathway.
  • PTC-AADC regulatory decisions, commercial-device requirements, and readiness of internal and external manufacturing capacity.
  • Evrysdi sales, PTC’s retained royalty share after the RPI transaction, and the carrying value and repayment profile of the royalty-sale liability.
  • Cash burn, product revenue growth, reimbursement trends, and the company’s stated liquidity runway as pipeline spending continues.
  • Assumptions underlying contingent consideration valuations and the potential dilution or cash cost of milestone payments and equity issuance.

The financial statements received an unqualified audit opinion, and management and the auditor reported effective internal control over financial reporting as of December 31, 2020.
