PTC Therapeutics, Inc. — 2014 Form 10-K
Reporting period: Fiscal year ended December 31, 2014. This is an annual filing, not a standalone fourth-quarter report; quarterly figures are noted where relevant. Unless stated otherwise, amounts are in U.S. dollars.
Business context
PTC is a development-stage biopharmaceutical company transitioning toward commercialization. Its lead product, Translarna (ataluren), received conditional European Commission authorization in August 2014 for ambulatory patients aged five and older with nonsense-mutation Duchenne muscular dystrophy (nmDMD). Commercial sales began in Germany in December, while sales under reimbursed early-access programs were also developing. The authorization requires annual EMA reassessment and completion and reporting of the ACT DMD confirmatory trial.
Financial performance and position
| Metric | FY 2014 | FY 2013 | Change / context |
|---|---|---|---|
| Total revenue | $25.2 million | $34.7 million | Down 27% |
| Product revenue | $0.7 million | None | Early-access and initial commercial sales; Q4 product sales were $0.636 million |
| Collaboration revenue | $22.2 million | $31.3 million | Lower deferred-revenue recognition, partly offset by Roche milestones |
| Grant revenue | $2.3 million | $3.4 million | Down 32% |
| Research and development expense | $79.8 million | $54.9 million | Up 45%, reflecting clinical, manufacturing and stock-compensation costs |
| Selling, general and administrative expense | $44.8 million | $25.2 million | Up 78%, mainly commercialization and international expansion |
| Operating loss | $99.4 million | $45.4 million | Loss widened as spending rose and revenue fell |
| Net loss | $93.8 million | $51.6 million | Loss widened; 2014 included a $4.7 million net tax benefit |
| Net loss per share | $2.97 | $5.18 | 2013 per-share comparison is affected by the capital structure transition |
There was no meaningful positive operating margin: the company remained loss-making, and product-sales costs were not separately materialized in the statements because related costs were recorded in R&D. Q4 2014 operating loss was $32.2 million and net loss was $27.3 million; collaboration and grant revenue totaled $12.0 million that quarter.
At year-end, cash and cash equivalents were $49.7 million and marketable securities were $265.5 million, for combined liquidity of $315.2 million. Current assets were $323.6 million versus current liabilities of $32.5 million. Total liabilities were $34.8 million, including no reported outstanding long-term debt; the prior secured debt had been repaid in 2013. Accumulated deficit was $422.6 million.
Operating cash use was $57.3 million, compared with $46.9 million in 2013. Investing cash use was $145.2 million, principally net purchases of marketable securities; financing provided $237.1 million, largely from two 2014 equity offerings that generated $236.0 million net. The company reported a $4.3 million total fixed lease obligation and no off-balance-sheet arrangements.
Material changes and developments
- Translarna received conditional EEA authorization and launched commercially in Germany; early-access programs expanded in selected countries.
- PTC began a rolling U.S. NDA submission for nmDMD. ACT DMD was fully enrolled, with top-line results expected in Q4 2015.
- The ACT CF Phase 3 confirmatory trial began in June 2014. Roche’s SMA program advanced from Phase 1 to Phase 2, triggering $17.5 million in 2014 milestone revenue.
- R&D and SG&A spending increased substantially as PTC advanced trials and built commercial infrastructure. Share-based compensation rose to $19.3 million from $8.4 million.
- Two public offerings raised $236.0 million net in 2014. Common shares outstanding increased to 32.9 million at year-end from 23.8 million.
Outlook, risks and unusual items
- Management estimated existing liquidity and expected collaboration funding would fund operating and capital needs through late 2017. This is an estimate dependent on assumptions; management expected significant losses and higher development and commercialization costs.
- For 2015, management expected revenue principally from Translarna sales where pricing and reimbursement or early-access arrangements permit. Expansion across the EEA depends on country-level pricing and reimbursement negotiations, which may take more than 18 months.
- ACT DMD results were expected in Q4 2015; ACT CF enrollment was expected to finish by year-end 2015, with top-line results about a year later. A variation seeking nmCF authorization was planned for the second half of 2015. A Phase 2 nmMPS I study was starting, with data expected by year-end 2015.
- Key risks include the conditional and annually reassessed EEA authorization, uncertainty around confirmatory trial outcomes and U.S. regulatory review, limited product revenue, reimbursement and pricing uncertainty, and dependence on third-party manufacturing and distribution.
- Earlier nmDMD and nmCF trials missed their pre-specified primary efficacy endpoints at the required statistical significance. Favorable supporting analyses were retrospective or subgroup analyses and may receive less regulatory weight. In the prior nmCF trial, renal adverse events and creatinine elevations were reported, particularly with certain antibiotics; concomitant use of potentially nephrotoxic antibiotics was subsequently prohibited in the confirmatory trial.
- Unusual financial items included the $4.7 million tax benefit from selling New Jersey tax attributes and the end of the Roche/SMA Foundation research term effective December 31, 2014. The company’s use of tax-loss carryforwards is restricted by Section 382, and it expected some losses to expire unused.
- The financial statements received an unqualified audit opinion. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not attest to internal-control effectiveness under the company’s available exemption. No material legal proceedings were reported.
Important facts for investors to verify
- ACT DMD results and whether they satisfy EMA conditions and support full European and U.S. approval.
- ACT CF enrollment, trial results, regulatory alignment on endpoints and the prospects for an EMA indication variation.
- Actual Translarna sales, collections, reimbursement decisions, net pricing and any potential retroactive rebates or repayments.
- Cash burn, equity dilution and whether the late-2017 funding estimate remains valid as commercial and trial costs evolve.
- Manufacturing capacity, supply continuity, and the status of longer-term commercial supply arrangements.
- Safety monitoring, including renal events and antibiotic-use restrictions, as confirmatory-trial and commercial exposure grows.
