PTC Therapeutics, Inc. — FY2013 Form 10-K
Reporting period: Fiscal year ended December 31, 2013; filed March 6, 2014. The filing also reports fourth-quarter results. PTC is a clinical-stage biopharmaceutical company developing small-molecule therapies, led by ataluren for nonsense-mutation Duchenne muscular dystrophy (nmDMD) and cystic fibrosis (nmCF). It had no product sales.
Financial performance and position
| Metric | FY2013 | FY2012 |
|---|---|---|
| Revenue | $34.7 million | $33.9 million |
| Research and development | $54.9 million | $46.1 million |
| General and administrative | $25.2 million | $14.6 million |
| Operating loss | $45.4 million | $26.8 million |
| Net loss | $51.6 million | $26.2 million |
| Operating cash flow | $(46.9) million | $(47.9) million |
| Cash, cash equivalents and marketable securities at year-end | $142.5 million | $2.7 million |
Revenue was collaboration and grant revenue, primarily; no product revenue or meaningful product margin was reported. Operating expenses exceeded revenue, and the company remained loss-making. FY2013 revenue included a $10 million Roche milestone; collaboration revenue rose to $31.3 million from $28.8 million, while grant revenue fell to $3.4 million from $5.2 million.
Year-end working capital was $131.9 million, versus a deficit of $23.6 million in 2012. Total assets were $151.9 million and stockholders’ equity was $136.5 million. Debt was nearly repaid: $49,000 remained at year-end, after PTC repaid its secured facility in July 2013. FY2013 financing cash flow of $187.4 million included $131.6 million of net IPO proceeds and $60.8 million from preferred-stock sales; investing cash outflow largely reflected purchases of marketable securities.
Fourth-quarter 2013 revenue was $4.4 million, operating expenses were $22.5 million, operating loss was $18.1 million, and net loss was $17.9 million. Annual operating loss widened as R&D and G&A spending increased. R&D rose 19%, largely from ataluren clinical-trial costs; G&A rose 73%, reflecting higher share-based compensation, public-company costs and pre-commercial activity. Net loss also included $6.1 million of net interest expense, partly associated with convertible-debt discount amortization.
In February 2014, after year-end, PTC raised approximately $118.4 million net through a public offering. Management estimated that year-end liquidity, this offering and expected collaboration research funding would support planned operations through Q4 2016, subject to assumptions including no significant early commercialization costs. The independent auditor issued an unqualified opinion on the financial statements; it did not audit internal control effectiveness.
Material changes and business developments
- PTC initiated the confirmatory Phase 3 ACT DMD trial in April 2013, targeting approximately 220 patients. Enrollment was expected to finish in mid-2014, with top-line results anticipated in mid-2015.
- In January 2014, the EMA’s CHMP recommended refusing conditional approval of ataluren for nmDMD, citing insufficient compelling efficacy evidence, dose uncertainty and concerns about trial feasibility. PTC requested re-examination and expected an outcome in Q2 2014.
- The completed nmDMD Phase 2b trial and nmCF Phase 3 trial both missed their primary efficacy endpoints at the prespecified statistical significance level. Favorable company-cited results relied in part on retrospective or subgroup analyses.
- PTC planned to begin dosing a confirmatory Phase 3 nmCF trial in the first half of 2014, with top-line data expected in 2016. PTC and the FDA had not reached agreement on trial design; the company planned FEV1 as the primary endpoint despite FDA feedback on endpoints and duration.
- The SMA program advanced under Roche collaboration: selection of a development candidate triggered a $10 million milestone in 2013, and Phase 1 initiation in January 2014 triggered a further $7.5 million. Roche leads clinical development and commercialization; PTC may receive further milestones and royalties.
Outlook, risks and unusual items
- Management expected expenses to rise as confirmatory trials, early-access programs, regulatory work and pre-commercial activities progressed. PTC expected continued operating losses and no significant product revenue until ataluren receives approval and is commercialized; it cautioned that profitability may never be achieved.
- Key risks include clinical-trial failure or delay, regulatory refusal, limited patient enrollment, reimbursement and pricing pressure, reliance on third-party manufacturers and collaborators, and the need for future financing. PTC’s cash-runway estimate depends on assumptions and could prove too optimistic.
- EMA GCP inspections of selected nmDMD trial sites produced critical and major findings involving protocol waivers, site oversight and documentation. PTC reported corrective actions; regulators could still discount data or require further studies.
- In the nmCF Phase 3 trial, ataluren did not significantly improve the primary endpoint at week 48 in the overall population. PTC reported subgroup differences based on chronic inhaled antibiotic use and hypothesized that tobramycin interfered with ataluren’s mechanism. The filing also describes renal adverse events and creatinine elevations; concomitant use of certain potentially nephrotoxic antibiotics was subsequently prohibited.
- Unusual reported items include an $18.2 million deemed dividend related to 2013 financing, a $3.4 million gain from preferred-stock recapitalization, and the prior-year $160.0 million recapitalization gain. These materially affect common-stockholder earnings and per-share comparisons; FY2012 reported common-stockholder income despite an operating loss.
- PTC disclosed no off-balance-sheet arrangements. Contractual commitments included $4.6 million of fixed debt and lease obligations at year-end, excluding contingent milestones and royalties.
Key investor verification points
- Confirm the final EMA re-examination outcome and any subsequent regulatory decisions for nmDMD and nmCF.
- Track ACT DMD enrollment, prespecified endpoint performance, data timing and whether inspection findings affect the trial or prior data.
- Review the confirmatory nmCF protocol against FDA requirements, including endpoint, trial duration and antibiotic restrictions; verify safety monitoring for renal events.
- Reconcile liquidity and cash-burn forecasts with the February 2014 offering, trial spending, collaboration receipts and any commercialization costs.
- Assess the sustainability and concentration of collaboration and grant revenue, and distinguish recurring funding from milestones and deferred-revenue recognition.
- Review dilution from equity compensation and financing, and confirm remaining debt, contingent milestone obligations and royalty terms.
