Material changes versus the prior comparable period

  • Q3 net income declined 23%, principally because other income fell to $73m from $460m as strategic-investment gains were much lower. Nine-month net income rose 90%, reflecting higher operating income and a swing in strategic-investment results, plus higher interest income.
  • Nine-month operating margin improved to 15% from 13%, with operating income growing faster than expenses. Q3 margin remained 16%.
  • Nine-month operating cash flow fell 47%. The filing cites, among other factors, $5.7bn of originations of loans held for sale and related repayment proceeds of $3.7bn.
  • Consumer and merchant credit performance weakened: consumer net charge-off rate was 7.6% versus 4.8%; merchant rate was 20.4% versus 3.6%. Merchant receivables over 90 days rose to 6.6% from 2.5%.
  • Active accounts were 428m, down 1%; payment transactions rose 11% and transactions per active account increased 13%.

Outlook, commentary, risks and unusual items

  • No explicit numeric company-wide revenue or earnings guidance is provided in the filing text. Management expected reduced originations for U.S. interest-bearing consumer installment loans and PayPal Business Loans to continue through the remainder of 2023; merchant loan charge-off rates were expected to remain elevated in Q4.
  • PayPal entered an agreement to sell eligible U.K. and European installment receivables, with a forward-flow component covering future eligible loans over 24 months. Sales began in October 2023; $1.4bn had been sold by October 31. PayPal retains servicing rights. The arrangement is intended to transfer ownership of eligible receivables, subject to transaction terms.
  • Happy Returns was sold to UPS in Q4 for approximately $465m cash; PayPal expected to recognize a pretax gain of approximately $329m, net of expected transaction costs.
  • Workforce-reduction charges were $120m for the first nine months; estimated annualized employee-cost savings were approximately $280m, including $85m of stock-based compensation, with some savings expected to be reinvested.
  • Key risks include changing payments, lending and cryptocurrency regulation; cybersecurity and fraud; foreign-exchange and interest-rate exposure; credit losses; customer-funds management; and legal and regulatory proceedings. The filing reports CFPB, FTC and German FCO inquiries, among other matters. On November 1, PayPal received an SEC subpoena relating to PayPal USD and said it was cooperating. Accrued legal and regulatory liabilities were not material, but possible outcomes remain uncertain.
  • Management said existing liquidity, operating cash generation and expected capital-market access should be sufficient for cash needs over the next 12 months and beyond. It also expected to pay approximately $725m of deferred federal estimated taxes in Q4 2023.
