Fiscal 2020 revenue grew 8%, while cost of revenue rose 11%, reducing gross margin. Adjusted EBITDA increased about 5%. The FY2019 net income comparison is distorted by a one-time $49.4 million non-cash tax benefit from releasing most of the deferred-tax valuation allowance; FY2020 included a $13.6 million net gain on business divestitures. Cash from operations improved, supported in part by working-capital movements, including lower accounts receivable.

For the quarter ended June 30, 2020, revenue was $117.0 million versus $122.0 million a year earlier; operating loss was $0.8 million versus operating income of $3.5 million, net income was $1.5 million versus $3.4 million, and adjusted EBITDA was $8.4 million versus $10.4 million.

Material changes and unusual items

  • Financial-services revenue rose 12% for the year, supported by enhanced products, media access and personal-loan activity. Credit-driven business weakened late in the year amid COVID-19; mortgage revenue declined with lower refinancing and the mortgage-business sale.
  • Education revenue fell 11%, partly due to losing a large not-for-profit client that entered federal receivership. Home-services revenue increased, while the B2B vertical was divested.
  • During FY2020, the company divested its B2B vertical, mortgage business and certain Brazilian operations. Divestitures generated $15.1 million of net cash proceeds; the reported net disposition gain was $13.6 million.
  • On July 1, 2020, QuinStreet acquired Modernize for $43.9 million cash at closing, with $27.5 million in post-closing payments. The acquisition occurred after year-end.
  • Stock-based compensation was $16.7 million. Year-end deferred tax assets were $48.7 million; realizability depends on future taxable income and was identified as a critical audit matter.

Outlook, risks and contingencies

Management provided no specific numerical revenue or earnings guidance. It said available cash and expected operating cash flow should cover anticipated requirements for at least 12 months. Management seeks sustainable revenue growth while maintaining target profitability and expects adjusted EBITDA margins to vary by quarter.

COVID-19 may reduce client marketing budgets, media availability or performance, and demand in credit-sensitive markets; the duration and financial effects remained uncertain. The company paused its financial-advisor-led review of strategic alternatives, citing pandemic-related market uncertainty. Other material risks include dependence on a small number of clients, third-party publishers and search engines; regulatory and privacy compliance; client credit and collections; cybersecurity; and competition for quality media. Most client contracts can be canceled with little or no notice.

At June 30, 2020, acquisition-related post-closing payments and contingent consideration totaled $12.2 million, in addition to operating lease commitments. Management reported no material adverse effect expected from pending or threatened legal matters, while noting outcomes remain uncertain. Management and the auditor concluded internal control over financial reporting was effective at year-end.

Investor facts to verify

  • Whether COVID-19 effects on financial-services demand, client spending and media costs persisted or worsened after year-end.
  • Whether gross-margin pressure reversed, and how revenue and profitability developed by client vertical.
  • Collection and recoverability of receivables, including the $10.2 million doubtful-accounts allowance and significant client concentration.
  • Integration, performance and cash commitments associated with the Modernize acquisition and remaining acquisition payments.
  • Support for realizing deferred tax assets, and the assumptions underlying the $13.6 million divestiture gain and adjusted EBITDA.
