All Q1 2018 collaboration and license revenue came from Bristol Myers Squibb (BMS). License revenue was $2.5 million and collaboration revenue was $1.0 million. No clinical or commercial manufacturing revenue had been recognized. Gross margin is not separately presented.
At March 31, 2018, cash and cash equivalents were $140.8 million, restricted cash was $2.5 million, and total assets were $192.2 million. Cash, cash equivalents and restricted cash together declined $18.5 million from year-end 2017 to $143.3 million. Shareholders’ equity was $100.3 million and total liabilities were $92.0 million.
Hercules debt had $20.0 million of outstanding principal, reported at a net carrying amount of approximately $20.8 million. The filing states cash and cash equivalents were expected to fund operations into early 2020.
Material changes and unusual items
- Revenue increased modestly, but the sources shifted: Q1 2017 included $1.6 million of Chiesi collaboration revenue; that collaboration had ended in 2017. BMS revenue rose from $1.5 million to $3.5 million.
- R&D expense was broadly unchanged. Higher external development costs, including preparation for the AMT-061 pivotal study and AMT-130 toxicology work, were largely offset by lower facility costs and personnel/consulting costs.
- Operating cash use rose $9.8 million year over year. Management attributed the comparison primarily to less favorable working-capital movements, including a $2.5 million reduction in short-term incentive accruals.
- On January 1, 2018, uniQure adopted ASC 606. The retrospective transition adjustment increased equity by $24.9 million and reduced deferred revenue by the same amount. Q1 2018 BMS license revenue was $2.5 million under ASC 606, versus an estimated $1.1 million under the previous policy; Q1 2017 was reported under the previous standard. The change limits direct period-to-period comparability.
- Net loss improved partly with higher interest income and a $0.7 million gain from fair-value changes in warrants. Revenue recognition and other fair-value estimates involve significant judgment.
Outlook, commentary and risks
- Management expected operating losses to increase as it advanced AMT-061 toward pivotal development, progressed AMT-130 and other research programs, and invested in manufacturing, clinical and regulatory capabilities.
- For AMT-061, the company reported completing manufacturing comparability work and submitting an FDA IND amendment for a dose-confirmation study. It planned to evaluate approximately three patients at a single dose before the pivotal study. Clinical timing, dose confirmation, safety, efficacy and regulatory acceptance remain uncertain.
- The company expected to complete the AMT-130 non-human-primate toxicology study and file an IND in the second half of 2018. The BMS collaboration was advancing preclinical work on AMT-126, including a diseased-minipig heart-function study begun in Q1.
- Management said future funding needs depend on development costs, potential BMS milestones, debt repayments and other factors. Additional financing might be needed and could be unavailable or dilute shareholders; BMS milestone and royalty payments depend on future target selection, development and commercial success.
- Key risks include clinical and manufacturing setbacks, regulatory uncertainty for gene therapies, limited rare-disease patient populations, reimbursement and pricing uncertainty, competition, reliance on collaborators and licensors, and the possibility of needing additional capital. The company reported no legal proceedings and no subsequent events.
Important facts for investors to verify
- Whether AMT-061 dose confirmation, pivotal-trial initiation and Lexington manufacturing plans proceed as expected, and what clinical evidence supports safety and efficacy.
- Whether management’s early-2020 cash runway remains supportable given the Q1 operating cash outflow and planned spending.
- The timing and amount of Hercules principal repayments, and compliance with the facility’s covenants and collateral requirements.
- How ASC 606 judgments affect BMS license revenue, deferred revenue and future reported results, including any changes to key assumptions.
- Whether BMS selects additional targets or achieves milestones, and the resulting implications for revenue, funding and development plans.
