Rani Therapeutics Holdings, Inc. — FY2023 Form 10-K
Reporting period: Year ended December 31, 2023; filed March 20, 2024. This is an annual report, not a standalone fourth-quarter report. Rani is a clinical-stage biotherapeutics company developing the RaniPill oral delivery platform. It has no approved products and no commercial product revenue.
Financial performance and liquidity
| Metric | FY2023 | FY2022 |
|---|---|---|
| Commercial product revenue | None | None |
| Research and development expense | $39.6 million | $36.6 million |
| General and administrative expense | $26.5 million | $26.8 million |
| Total operating expenses / operating loss | $66.1 million | $63.5 million |
| Consolidated net loss | $67.9 million | $63.3 million |
| Net loss attributable to Rani Holdings | $34.0 million; $1.33 per share | $30.6 million; $1.28 per share |
| Cash used in operating activities | $51.2 million | $46.5 million |
| Cash, cash equivalents and marketable securities at year-end | $48.5 million | $98.5 million |
No operating margins are meaningful because the company has no commercial product revenue. R&D expense rose 8.2%; G&A declined 1.4%. Higher compensation, third-party services, and facilities/material costs drove the R&D increase. Higher debt interest expense was partly offset by higher interest income.
- Liquidity and going concern: Management and the auditor report substantial doubt about the company’s ability to continue as a going concern for one year after issuance of the financial statements. Management says current resources are insufficient to fund projected requirements for 12 months or initiate pivotal trials; additional financing is needed.
- Debt: Year-end debt carrying value was approximately $29.4 million, with $4.9 million classified as current. The $30 million funded term loan bears interest at the greater of prime plus 5.60% or 10.35%; its effective rate was 15.70% at year-end. Principal repayment is scheduled to begin in September 2024, with possible extension to March 2025. The lender has a security interest in substantially all assets, including intellectual property. A further $15 million tranche is uncommitted and requires lender approval.
- Liquidity resources: Current assets were $50.8 million and current liabilities $8.0 million. An at-the-market facility permits up to $150 million of Class A stock sales, but no sales had occurred by December 31, 2023. The company reported operating-lease and debt commitments totaling $38.6 million, including $31.0 million of debt obligations.
Material changes and business developments
- In November 2023, Rani announced a strategic prioritization focused on RT-102, RT-111, and the high-capacity RaniPill HC. It paused RT-105 and RT-110, terminated RT-101, and planned to reduce its workforce by approximately 25%.
- The restructuring was estimated to cost approximately $0.3 million, mostly cash severance, and was expected to be substantially complete by the end of Q2 2024. Management said cost savings were expected to support operating plans into 2025; this does not remove the disclosed going-concern doubt.
- In December 2023, the board repriced certain outstanding options to $2.84 per share, resulting in $1.8 million of incremental stock-based compensation expense.
- After year-end, the company reported positive topline Phase 1 results for RT-111 in February 2024. The study met its endpoints, reported no serious adverse events, and estimated 84% bioavailability for the 0.5 mg oral dose relative to subcutaneous STELARA. Rani believes the results trigger Celltrion’s right of first negotiation.
Outlook, commentary, and risks
- Rani intended to initiate a Phase 2 RT-102 trial in 2024 and pursue potential Phase 1 clinical testing of RaniPill HC in the second half of 2024. These are plans, not assured milestones; regulatory review, funding, manufacturing, and clinical results may affect timing.
- RaniPill GO is designed for up to 3 mg payloads; RaniPill HC is designed for liquid payloads up to 200 μL. HC evidence remains preclinical, including canine studies, and the device has not been tested clinically.
- The company reported completing three Phase 1 trials using RaniPill GO. Historical RT-102 and RT-101 results and the 2024 RT-111 topline findings were generally described as well tolerated, without serious adverse events; early studies do not establish safety or efficacy in larger or longer-term trials.
- Key risks include further capital needs and possible dilution or unfavorable financing; early-stage clinical and regulatory uncertainty for a novel combination product; manufacturing scale-up and reliance on third-party drug suppliers; competition and reimbursement uncertainty; and dependence on partnerships. Celltrion has negotiation rights for RT-111 and RT-105, and may terminate the RT-105 agreement if specified trial milestones are missed.
- Four European patents are subject to opposition proceedings initiated by Novo Nordisk; outcomes are pending. Management said loss is not probable or reasonably estimable, but an adverse outcome could reduce protection in Europe. The company reported no other litigation considered likely to have a material adverse effect.
- Potential Tax Receivable Agreement payments were not recorded as a liability because realization of the related tax benefits was not considered probable. If benefits are realized, the payable was estimated to range from zero to $22.9 million at year-end. The agreement generally entitles certain continuing LLC owners to 85% of covered tax benefits.
- The auditor issued an unmodified opinion on the financial statements and highlighted the going-concern uncertainty. Management concluded disclosure controls and internal control over financial reporting were effective; the auditor did not attest to internal-control effectiveness.
