Rani Therapeutics Holdings, Inc. — FY2022 Form 10-K

Reporting period: Fiscal year ended December 31, 2022. The filing is an annual report, not a standalone fourth-quarter report. Financial statements are audited and presented under U.S. GAAP.

Business context

Rani is a clinical-stage biotherapeutics company developing the RaniPill oral-delivery platform, designed to deliver biologics into the small intestine as an alternative to injections. The RaniPill GO is designed for payloads up to 3 mg; the higher-capacity RaniPill HC, intended for up to 20 mg, remains preclinical. The company has no approved products and has generated no commercial product revenue.

Financial and operating results

MetricFY2022FY2021
Contract revenue$0$2.7 million
Research and development expense$36.6 million$26.5 million
General and administrative expense$26.8 million$27.8 million
Total operating expenses$63.5 million$54.3 million

FY2022 R&D expense rose 38.2%, mainly due to higher personnel costs and increased clinical, preclinical and other development activity. G&A declined 3.6%; lower nonrecurring equity compensation from the IPO year partly offset higher personnel and public-company costs. FY2021 contract revenue was from the Takeda evaluation agreement, which ended in 2021. Operating margins are not meaningful for this pre-revenue company.

At December 31, 2022, cash and cash equivalents were $27.0 million, restricted cash was $0.5 million, and marketable securities were $71.5 million; management reported combined cash, cash equivalents and marketable securities of $98.5 million. Total assets were $108.0 million, total liabilities $34.0 million, and stockholders’ equity $74.0 million. Long-term debt was $29.1 million on the balance sheet; $30.0 million of principal had been drawn. The company reported $32.7 million in contractual obligations, including debt and operating leases.

Operating cash use increased year over year. Investing cash outflow was $72.4 million, primarily reflecting purchases of marketable securities; financing provided $29.0 million, principally from debt. Management estimated available cash and marketable securities would fund operations and capital expenditures for at least 12 months from issuance of the financial statements.

Material changes and developments

  • RT-102 completed its Phase 1 study in Australia. The company reported high bioavailability versus subcutaneous Forteo, including 300–400% greater bioavailability in the single-dose portion; the seven-day repeat-dose portion met endpoints, with no serious adverse events reported.
  • In January 2023, following an FDA pre-IND meeting, management said a 505(b)(2) U.S. pathway appeared suitable for RT-102. A Phase 2 trial was expected to begin in the second half of 2023.
  • RT-111, an oral ustekinumab biosimilar candidate, entered preclinical development. In January 2023, Celltrion granted a worldwide license and supply arrangement; Celltrion has a right of first negotiation for development and commercial rights after a qualifying Phase 1 trial.
  • Rani discontinued active development of RT-109 after a 2022 portfolio review, while remaining open to partnering. The company continued preclinical work on RaniPill HC.
  • In August 2022, Rani drew $30 million under a venture debt facility. A further $15 million is uncommitted and subject to lender approval and conditions. The facility carries a variable rate with a 10.35% floor; the effective rate was 11.01% at year-end, and principal repayment is scheduled to begin in 2024, subject to extension provisions.
  • Rani established a $150 million at-the-market equity program in August 2022 but reported no sales under it by year-end.

Outlook, risks and unusual items

  • Management expects continued losses and significant R&D spending; it does not anticipate commercial product revenue for several years, if ever. Additional financing will be needed, and the stated cash runway depends on assumptions that may not hold.
  • The debt is secured by substantially all company assets, including intellectual property, and includes operating restrictions, a financial covenant relating to having at least two drug products in clinical development, and events of default that could accelerate repayment. Rani reported compliance with covenants at year-end.
  • Clinical, regulatory and manufacturing risks remain substantial: Phase 1 results may not predict later outcomes; the delivery platform has limited human exposure and no long-term safety data; product candidates require further trials and regulatory approvals; and supply relies on third parties, generally without long-term API or drug-substance agreements.
  • Four European patent opposition proceedings brought by Novo Nordisk were ongoing; decisions had amended claims or revoked two patents, with appeals pending. Management said the ultimate loss was not probable or reasonably estimable, but outcomes could affect protection in Europe.
  • The Tax Receivable Agreement requires payment of 85% of certain realized tax benefits to continuing LLC owners. No liability was recorded at year-end because realization was not considered probable; estimated potential payments ranged from zero to $22.9 million.
  • Voting control is concentrated through the dual-class structure. Related-party arrangements with InCube Labs include services, facilities and licensing; InCube is affiliated with the company’s founder and Chairman.
  • The company reported effective disclosure controls and internal control over financial reporting as of year-end. The auditor’s report did not include an internal-control attestation. The filing reported no material litigation and no unresolved SEC staff comments.

Important facts for investors to verify

  • Whether the RT-102 Phase 2 trial started as planned and whether subsequent efficacy, safety and device-performance data support further development.
  • Actual cash burn and financing runway, including any ATM share sales, debt draws, repayment terms and covenant compliance.
  • Progress and feasibility of RaniPill HC, manufacturing automation and reliable supply of APIs and drug substances.
  • Celltrion’s supply performance and whether it exercises its right of first negotiation for RT-111 after Phase 1.
  • Outcomes of Novo Nordisk’s European patent oppositions and any resulting changes to Rani’s intellectual-property protection.
  • Potential dilution from outstanding equity awards, exchangeable LLC interests and registered resale shares, as well as the effects of the Tax Receivable Agreement and related-party governance structure.
