Investment income was $5.7 million for the quarter and $17.9 million for the nine months, up from $2.7 million and $4.1 million, respectively. Higher investment income and favorable foreign-exchange movements partly offset increased operating costs. With no product revenue, profit margins are not meaningful.

At December 31, cash and cash equivalents were $97.7 million and short-term investments were $368.7 million, totaling $466.4 million; restricted cash was an additional $1.6 million. Current assets were $479.2 million and current liabilities $38.7 million. Total liabilities were $111.4 million, including $44.4 million of net long-term debt and lease liabilities. Stockholders’ equity was $421.5 million and accumulated deficit was $646.2 million.

Operating cash use rose to $139.3 million from $95.3 million. Investing activities provided $74.0 million, principally from net sales and maturities of short-term investments; financing activities provided $16.4 million, including a $15.0 million debt draw. Cash, cash equivalents and restricted cash fell by $48.9 million over the nine months.

Material changes and business developments

  • Quarterly R&D expense increased $12.6 million year over year; nine-month expense increased $43.8 million. Management attributed the increases to clinical-trial activity and enrollment, CRO and investigator costs, RP1 work, development spending on RP2 and RP3, and increased personnel costs.
  • Quarterly SG&A increased $2.3 million and nine-month SG&A increased $8.1 million, largely reflecting hiring and pre-commercial planning.
  • In December 2023, the randomized Phase 2 CERPASS trial of RP1 plus cemiplimab in cutaneous squamous cell carcinoma did not meet either primary endpoint. The reported complete response rate was 38.1% versus 25.0% for cemiplimab alone, but did not meet the trial’s statistical-significance threshold; the trial continues follow-up for duration of response, progression-free survival and overall survival.
  • For the RP1/nivolumab IGNYTE anti-PD-1-failed melanoma cohort, the company reported a 31.4% overall response rate and 12% complete response rate in 156 patients. Management said the FDA discussed a potential accelerated-approval approach, with a confirmatory Phase 3 trial underway by BLA submission; the company planned a BLA submission in the second half of 2024.
  • Development efforts on RP3 were deprioritized. RP2 work continued, including planning for a potentially registration-enabling study in advanced uveal melanoma. The filing also describes discontinued or modified RP2/RP3 programs in certain tumor types.

Outlook, financing and risks

Management stated that, under its current operating plan, cash, cash equivalents and short-term investments at December 31, 2023 were expected to fund operations into the second half of calendar 2026. The filing cautions that this estimate depends on assumptions that may prove incorrect. The financial-statement notes separately state that resources are expected to cover operating and capital requirements for at least 12 months from issuance.

The Hercules term loan had a $45.6 million principal balance at December 31, 2023 and matures October 1, 2027. It carries floating cash interest subject to a 7.25% floor, plus 1.50% payment-in-kind interest. A December 2023 amendment accompanied a $15.0 million draw and revised availability and conditions for later tranches. Covenants include a minimum unrestricted-cash requirement beginning January 1, 2024 and additional financial tests that may apply from July 2024 or when debt reaches specified levels.

The company expects significant ongoing losses and says additional capital may be needed to achieve its objectives; it has no committed external funding source. Potential equity or debt financing could dilute shareholders or impose restrictions. Other key risks include clinical and regulatory uncertainty, the CERPASS outcome, reliance on collaborators and suppliers, manufacturing execution, competition, and the possibility that product candidates never obtain approval or generate revenue. The company settled its patent challenges with Amgen in August 2023 and agreed to low-single-digit royalties on qualifying net sales under specified circumstances. It reported no material legal proceedings.

Important facts for investors to verify

  • Whether subsequent IGNYTE data and FDA interactions support the planned RP1 BLA timing and accelerated-approval pathway, including the required confirmatory study.
  • How CERPASS follow-up outcomes develop despite failure to meet the primary endpoints.
  • Whether the stated cash runway remains achievable as clinical spending, manufacturing costs and development priorities change.
  • The impact of debt covenants, interest costs and future Hercules tranche conditions on available liquidity.
  • How RP3 deprioritization and changes to RP2/RP3 programs affect spending, collaboration arrangements and pipeline prospects.
  • Potential dilution: 61.4 million common shares were outstanding at February 5, 2024, and the company had a $250 million ATM sales agreement, though it reported no ATM sales in the nine months ended December 31, 2023.
