Revenue growth was chiefly attributed to higher environmental-services volume. Environmental services generated $136,020 of revenue, versus $35,100 a year earlier. Gross margin improved, while professional fees and general and administrative expenses declined. The reported $135,180 net income included a $161,155 noncash gain from warrant fair-value changes; interest income was $35,377 and interest expense was $58,147. Thus, reported profit did not translate into positive operating cash flow.

Investments in corporations and LLCs were $10.1 million, and convertible and other notes receivable totaled $1.535 million. Lease liabilities were approximately $444,000. The $186,825 restricted cash balance is held as a performance bond for a mining permit and is not freely available for general liquidity.

Material changes and financing

  • Notes payable increased to $2.213 million; the former related-party Round A balance was reclassified as non-related-party debt after the business combination.
  • The company issued 233,334 shares to settle $350,000 of debt and received $261,000 of note proceeds during the quarter.
  • Cash and restricted cash combined declined by $60,639; operating cash use was partly offset by financing inflows.
  • At the business-combination closing, the company received $986,617 from the trust account before expenses, after 253,807 shares were redeemed, according to MD&A.

Outlook, risks, and unusual items

The filing provides no quantified revenue, earnings, or cash-flow guidance. Management says growth plans and interest expense may require additional equity or debt financing. It warns that capital may not be available on acceptable terms, and that limited cash, a working-capital deficit, thin trading in the stock, and potential dilution could constrain investment and growth. The company does not count potential warrant exercises as a likely funding source while its share price is below the $11.50 exercise price.

Other risks include execution and deployment of business-combination proceeds, the ability to realize investment returns, related-party relationships and transactions, and quarterly earnings volatility from warrant-liability remeasurement. The company reported no legal proceedings in Part II; its notes describe ordinary-course claims and litigation for which potential losses cannot be reasonably estimated, while management does not expect a material adverse impact. No off-balance-sheet arrangements were reported.

Subsequent events include additional investments in T.R. Mining, a $15,000 note to Westside Advisors, stock issuances to KBB Asset Management, and 9,591 shares repurchased under a buyback program through April 29, 2024. The filing reports disclosure controls were effective at a reasonable-assurance level and no material change in internal control during the quarter.

Important facts for investors to verify

  • Reconcile reported operating expenses and other income: MD&A gives $146,498 of total operating expenses and $119,578 of total other income and expense, which do not match the income statement’s $97,645 of operating expenses and $138,385 of total other income.
  • Reconcile the prior-year net loss: the Q1 2023 income statement reports a loss of $274,345, while the cash-flow statement begins with a loss of $710,809.
  • Confirm near-term liquidity and debt-service capacity, including the $489,000 of notes payable shown due in 2025, given $124,823 of unrestricted cash and negative working capital.
  • Assess collectability, maturity dates, and expected returns on the $1.535 million of notes receivable and the $10.1 million of investments; the filing reports no credit-loss allowance.
  • Review subsequent share issuances, the stock buyback, warrant terms and registration status, and potential dilution. The cover reports 14,964,095 shares outstanding as of May 24, 2024, versus 14,504,095 at quarter-end.
  • Check the consistency of the business-combination date across the filing and the comparability of pre- and post-combination results.
