- Total assets were $2.294 billion, loans $1.335 billion, and deposits $1.806 billion at June 30. Loans increased 2.4% from year-end 2013 and 5.5% year over year; deposits were nearly unchanged from year-end and up 3.8% year over year.
- Cash and cash equivalents were $154.0 million, down $37.6 million since year-end but up from $140.1 million a year earlier. Material changes and unusual items
- Q2 net interest income rose 3.8% year over year, while the tax-equivalent margin slipped 2 basis points. Management attributed the margin pressure principally to lower asset yields; loan growth and higher securities income supported net interest income.
- Noninterest income excluding securities gains fell $439,000 year over year, chiefly from a $401,000 decline in mortgage banking fees. Deposit service charges also declined, while interchange and wealth-management income increased.
- Management transferred $158.8 million of available-for-sale securities to held for investment at the end of May. The transfer-date unrealized holding loss was approximately $3.0 million; the company said it had the ability and intent to hold the securities to maturity.
- In January 2014, the company received $25 million of common-equity proceeds related to its 2013 capital offering. The Series A preferred stock had been fully redeemed at year-end 2013.
Outlook, management commentary, and risks
- Management expects margin improvement as lending initiatives grow and excess liquidity is deployed, while noting compressed spreads may persist through the remainder of 2014 and into 2015. It expects the effective tax rate for 2014 to be approximately 40.9%.
- Cost reductions implemented in the first half were estimated to produce $3.3 million in annual savings in total, with the second-quarter savings only partly reflected in that quarter’s expenses. Management expects an additional $1.8 million of annual savings from legacy cost reductions, primarily branch consolidations, beginning in late 2014; approximately $4 million of one-time charges are expected in Q4.
- The Accelerate business platform is expected to cost $4.7 million in 2014. Management also projected approximately $1.3 million annually for marketing, digital services, and data analytics, with about $748,000 invested year to date.
- Seacoast signed an agreement to acquire The BANKshares, Inc. in an all-stock transaction. Based on the July 25 share price, the stated value was approximately $73.1 million; closing was expected in Q4 2014, subject to regulatory approvals and customary conditions. BANKshares had approximately $688 million in assets, $516 million in deposits, and $381 million in loans at June 30.
- Credit remains concentrated in real estate: $1.202 billion, or 90.1% of loans, was secured by real estate, and operations are concentrated in central and southeastern Florida. Management cautioned that economic conditions, collateral values, borrower performance, and regulator assessments could affect credit losses and the allowance.
- Management concluded that $59.8 million of net deferred tax assets was more likely than not to be realized, based on projected future taxable income. If those projections are not met, a valuation allowance could materially affect financial results.
- Interest-rate simulations estimated net interest income would increase 7.5% under a 200-basis-point rate increase and 4.1% under a 100-basis-point increase over 12 months. These are model estimates, not earnings guidance.
- Disclosure controls were reported ineffective because of a material weakness involving review of accounting for previously recorded charge-offs related to a mature troubled debt restructuring. Remediation changes had been implemented but were not fully tested; management expected testing before year-end. Management stated the financial statements fairly presented the period.
- Management did not expect pending legal proceedings to have a material adverse effect, while noting outcomes cannot be assured. The company reported no material changes to its previously disclosed risk factors.
