Senseonics Holdings, Inc. — FY 2022 Form 10-K
Period: Fiscal year ended December 31, 2022. This is an annual filing, not a standalone fourth-quarter report; the filing text does not provide separate Q4 financial results.
Business context
Senseonics develops and manufactures Eversense, an implantable continuous glucose monitoring (CGM) system. Eversense E3, approved by the FDA for up to 180 days in February 2022 and CE-marked in June 2022, began U.S. commercialization in Q2 and European commercialization in the second half of 2022. Ascensia is the exclusive global commercialization partner and handles sales, marketing, market access, onboarding, and first-level support; Senseonics retains product development, manufacturing, regulatory, and second-level support responsibilities.
Financial performance and liquidity
| Metric | FY 2022 | FY 2021 |
|---|---|---|
| Total revenue | $16.4 million | $13.7 million |
| Gross profit (loss) | $2.7 million | ($0.8) million |
| Gross margin | 16.6% | (5.9%) |
| Research and development expense | $39.7 million | $27.2 million |
| Selling, general and administrative expense | $31.6 million | $29.2 million |
| Operating loss | ($68.6) million | ($57.2) million |
| Net income (loss) | $142.1 million | ($302.5) million |
| Cash used in operating activities | $66.3 million | $56.1 million |
Revenue increased 19.9%, primarily reflecting the Eversense E3 launch, partly offset by lower non-U.S. sales. Gross margin improved with the shift to E3, sales-channel mix, lower inventory write-offs and warranty/replacement costs, and manufacturing efficiencies. R&D spending rose mainly on clinical studies and next-generation development.
Reported 2022 net income is not representative of operating performance: it included $184.2 million of gains from changes in derivative fair value and $43.7 million from an option fair-value adjustment. The company remained loss-making at the operating level. Basic EPS was $0.30; diluted EPS was a loss of $0.11, reflecting the accounting impact of potentially dilutive securities.
At year-end, cash and cash equivalents were $35.8 million and marketable securities were $120.5 million, totaling $156.3 million. Current assets were $161.2 million and current liabilities $31.5 million. Debt principal outstanding was approximately $101.9 million: $15.7 million of 2023 Notes, $51.2 million of 2025 Notes, and $35.0 million of PHC Notes. Net carrying amounts were lower due to debt discounts and issuance costs. The 2023 Notes were repaid in January 2023 for $15.7 million principal plus $0.4 million accrued interest.
Management stated that existing cash and cash equivalents and expected operating cash flows were sufficient for anticipated needs through 2024, based on current plans. In March 2023, the company received $15.0 million gross proceeds from PHC for a pre-funded warrant; it also agreed to exchange PHC’s notes, including accrued interest, for a warrant to purchase up to 68.5 million common shares, subject to closing conditions.
Material changes, outlook, and risks
- Ascensia accounted for 96% of FY 2022 revenue, up from 90% in 2021, making commercialization performance and the partner relationship material dependencies.
- Management identified adoption, patient and provider awareness, trained inserter availability, reimbursement and coverage transitions, and Ascensia’s sales and marketing capabilities as key drivers of E3’s commercial success. The company reported positive U.S. coverage decisions reaching over 250 million covered lives; coverage does not ensure adequate reimbursement or actual uptake.
- The ENHANCE pivotal study for a 365-day system completed enrollment in September 2022. Data were expected in the second half of 2023; pediatric enrollment was planned for 2023, subject to the required approval. These are forward-looking expectations, not guaranteed outcomes.
- Key risks include sustained operating losses and cash burn, dependence on Ascensia and a single product, reimbursement uncertainty, competition from larger CGM companies, clinical and regulatory delays, outsourced manufacturing and supplier concentration, and potential dilution from convertible securities and warrants. European energy and supply-chain pressures and the Russia-Ukraine conflict were also cited as potential risks.
- A False Claims Act qui tam case concerning marketing practices remained pending: a magistrate judge recommended dismissal of an amended complaint in March 2023, with the recommendation awaiting district-court action. The company reported no litigation contingencies considered probable and reasonably estimable at year-end.
- The independent auditor issued an unmodified opinion and identified valuation of note-related derivative liabilities as a critical audit matter, citing significant unobservable assumptions. Management reported effective disclosure controls and internal control over financial reporting, with no material weaknesses identified.
Most important facts for investors to verify
- Whether revenue growth and gross-margin improvement continue as Eversense E3 adoption develops, and whether Ascensia meets its sales and commercialization commitments.
- Whether payer coverage translates into reliable reimbursement for both the sensor and insertion/removal procedures, and whether coverage transitions to the six-month product proceed as planned.
- Actual operating cash burn and liquidity runway versus management’s through-2024 estimate, including the effect of the 2023 note repayment and subsequent PHC transactions.
- The final terms, closing, share impact, and accounting treatment of the PHC note-for-warrant exchange and the related 15.4 million-share warrant; assess potential dilution alongside other convertible securities.
- Clinical and regulatory progress for the 365-day system, including ENHANCE results and any subsequent filings or approvals.
- The resolution of the pending qui tam litigation and any material developments in derivative-liability valuations, supplier continuity, or product safety.
