SIGA Technologies, Inc. — 2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. The filing was signed March 12, 2024. SIGA is a commercial-stage pharmaceutical company whose principal product is TPOXX (tecovirimat), sold primarily to U.S. and international governments for stockpiling. The FDA has approved oral and intravenous TPOXX for smallpox; oral TPOXX also has approvals in certain international markets.
Financial performance and liquidity
| Metric | 2023 | 2022 | Change |
|---|---|---|---|
| Total revenue | $139.9 million | $110.8 million | +26.3% |
| Operating income | $83.6 million | $42.7 million | +95.8% |
| Net income | $68.1 million | $33.9 million | +100.8% |
| Diluted EPS | $0.95 | $0.46 | +106.5% |
| Cash from operations | $94.8 million | $41.6 million | +$53.2 million |
- Product sales and supportive-services revenue rose to $130.7 million from $86.7 million. Research and development revenue declined to $9.2 million from $24.1 million, mainly due to lower clinical-trial activity.
- Operating margin was approximately 59.8%, compared with 38.5% in 2022; net margin was approximately 48.6%, compared with 30.6%.
- Cash and cash equivalents were $150.1 million at year-end, up from $98.8 million. Management said available resources should cover anticipated needs for at least 12 months from issuance of the statements.
- Current assets were $239.0 million and current liabilities $54.1 million, implying a current ratio of approximately 4.4. Inventory increased to $64.2 million from $39.3 million; accounts receivable fell to $21.1 million from $45.4 million.
- Total liabilities were $57.5 million, including $20.8 million of deferred IV TPOXX revenue and $21.7 million of income taxes payable. The filing reports no borrowings; lease liabilities were approximately $1.5 million.
- Financing cash outflow was $43.4 million, including a $32.1 million special dividend and $11.1 million of share repurchases. The repurchase authorization expired December 31, 2023.
Material changes versus 2022
- U.S. sales increased substantially: 2023 product revenue included $97.9 million of oral TPOXX delivered under the BARDA contract and approximately $10.7 million of DoD sales. 2022 product sales had included $71.0 million of international sales and $7.2 million of IV TPOXX sales to the U.S. Government.
- International revenue decreased to $21.3 million from $71.0 million, largely reflecting elevated 2022 demand associated with the mpox outbreak. U.S. revenue increased to $118.7 million from $39.8 million.
- SG&A declined to $22.0 million from $35.1 million, mainly because Meridian promotion fees fell with lower international sales. R&D expense declined to $16.4 million from $22.5 million; cost of sales and supportive services rose to $17.8 million from $10.4 million.
- Operating cash flow more than doubled, supported by collections of prior-year receivables and 2023 product receipts, partly offset by inventory investment. Inventory rose about 63% year over year.
Outlook, risks and notable items
- BARDA dependence: The 19C BARDA contract provides for up to approximately $602.5 million in payments, including $143.7 million of unexercised options. BARDA alone decides whether and when to exercise options. SIGA estimates remaining oral and IV procurement options valued at $112.5 million and $25.6 million, respectively, would need to be exercised in 2024 to approximately maintain historical stockpile levels; this is not a commitment by BARDA.
- International channel: Meridian’s exclusive international promotion agreement had an initial term ending May 31, 2024. International sales depend on Meridian’s promotion, collections and remittance, and the agreement’s continuation or replacement is material to the outlook.
- Research and regulatory milestones: SIGA targeted a 2024 supplemental NDA filing for smallpox post-exposure prophylaxis, subject to trial results. Five randomized, placebo-controlled mpox trials were enrolling as of year-end; timing and feasibility of any FDA submission depend on enrollment, case patterns and clinical results. The DoD PEP research contract was fully invoiced, with no remaining revenue to recognize.
- Subsequent activity: In January and February 2024, SIGA delivered approximately $15 million of oral TPOXX to the U.S. Strategic National Stockpile and approximately $7 million to European countries; it also delivered $0.7 million to Canada’s Department of National Defence. DoD ordered approximately $1 million under an amended contract in February 2024. The Board declared a $0.60-per-share special dividend payable April 11, 2024.
- Operating and financial risks: SIGA relies on outside manufacturers and service providers, faces fixed-price contract cost and delivery risks, and may incur delayed revenue if supply-chain performance slips. Government contracts may be modified, canceled or left unexercised; funding is subject to appropriations. Other risks include clinical and regulatory uncertainty, competition, intellectual-property challenges, and international collection and compliance risks.
- Unusual accounting and audit items: Revenue recognition involving estimates for long-term research obligations was identified as a critical audit matter. PwC issued unqualified opinions on the financial statements and internal control; management and the auditor concluded internal control over financial reporting was effective. The 2023 tax provision was $19.7 million, or a 22.5% effective rate.
