2022 revenue included $250,000 of licensing revenue and $698,911 of grant revenue; there was no contract revenue. The improved gross margin reflected licensing revenue and a different mix of reimbursed work, but gross profit remained small relative to operating costs. The net loss increased 10%, primarily due to higher legal and consulting costs related to the Emergent dispute and the absence of the prior-year PPP loan-forgiveness gain.
At December 31, 2022, total assets were $14.3 million, total liabilities $16.8 million, and shareholders’ deficit $2.5 million. Working capital was negative $2.7 million. The $10 million Pontifax convertible loan, net of discount, was classified as current because of a projected minimum-cash covenant issue and an acceleration clause. It bears 8.47% interest; contractual principal and interest payments total approximately $10.95 million through 2025, assuming no conversion.
Material changes and developments
- Cash fell 49% year over year, while operating cash use rose to $12.6 million. 2021 financing included approximately $19.7 million of ATM equity proceeds; 2022 ATM proceeds were only about $79,000.
- G&A increased 34%, largely due to Emergent-related legal and consulting expenses. R&D decreased 3%, following completion of the CTCL and oral-mucositis Phase 3 studies.
- HyBryte’s NDA was submitted in December 2022. In February 2023, after year-end, the FDA issued a refusal-to-file letter, saying the submission was not sufficiently complete for substantive review. Soligenix planned a Type A meeting to clarify requirements for resubmission.
- SGX302’s Phase 2a psoriasis study began enrolling in December 2022. For SGX942, the Phase 3 primary endpoint did not meet the prespecified significance threshold; the company says a second Phase 3 trial would be needed and is seeking a partner.
- On February 9, 2023, the company completed a 1-for-15 reverse stock split. Share and per-share figures in the filing are restated for the split.
Outlook, risks and unusual items
Management estimated available resources would support operations into the third quarter of 2023, but concluded it did not have sufficient cash to fund operations for at least 12 months after issuance of the financial statements. Management and the auditor cited substantial doubt about the company’s ability to continue as a going concern. The auditor’s opinion was unmodified but included a going-concern explanatory paragraph.
Management’s plans include equity or debt financing, ATM sales, strategic transactions or partnerships, and additional government grants and contracts; none was committed. As of March 24, 2023, the company reported $10.4 million of cash, up to $26.6 million of nominal ATM capacity, and approximately $6.6 million currently permitted under Form S-3 public-float limits. These are subsequent-period disclosures, not year-end balances.
- For 2023, management expected approximately $3.7 million of R&D spending before reimbursements, with about $0.7 million expected from existing grants and contracts. This is spending guidance, not revenue or earnings guidance.
- Key risks include continued funding needs, possible debt-covenant breach and repayment pressure, dilution, regulatory and clinical uncertainty, reliance on single-source manufacturers, dependence on uncertain government funding, and Nasdaq listing compliance.
- The company relies on outside manufacturers and reported that all drug substances currently have single suppliers. It also disclosed cash balances above applicable deposit protection limits.
- In the Emergent arbitration, the panel found contract breaches but awarded no monetary damages. Soligenix sought to vacate the decision and reported no assurance of recovery; it had not accrued approximately $331,000 of Emergent invoices because management disputed their validity.
- COVID-19 had no material reported impact on 2022 results, but manufacturer delays had contributed to the timing of HyBryte’s NDA filing. No royalty revenue had been recognized.
