Soligenix, Inc. — FY 2016 Form 10-K
Reporting period: Fiscal year ended December 31, 2016; filed March 27, 2017. This is an annual report, not a standalone fourth-quarter report. Soligenix is a development-stage biopharmaceutical company with BioTherapeutics and Vaccines/BioDefense segments and no approved products.
Financial performance and position
| Metric | 2016 | 2015 |
|---|---|---|
| Revenue, primarily government contracts and grants | $10.45 million | $8.77 million |
| Cost of revenue / gross profit | $8.43 million / $2.02 million | $6.88 million / $1.89 million |
| Gross margin | 19% | 22% |
| Research and development | $4.30 million | $5.40 million |
| General and administrative | $3.43 million | $3.60 million |
| Operating loss | $5.71 million | $7.11 million |
| Net loss | $3.25 million | $7.83 million |
| Cash used in operations | $4.98 million | $5.39 million |
- Cash and cash equivalents were $8.77 million at year-end, up from $4.92 million. Financing activities provided $8.84 million, offset partly by operating cash use.
- Working capital was $7.24 million at year-end. The filing’s 2015 comparison of $2.18 million excludes the $2.43 million noncash warrant liability; reported 2015 current liabilities included that liability.
- Year-end total assets were $10.27 million and shareholders’ equity was $7.40 million. No notes payable or warrant liability remained on the 2016 balance sheet; the $300,000 notes were repaid during the year.
- Revenue growth reflected increased RiVax government-contract activity. Vaccines/BioDefense generated all 2016 revenue and $1.56 million of operating income; BioTherapeutics had no revenue and a $3.40 million operating loss.
Material changes and notable items
- Net loss narrowed by 59%, while revenue rose 19%. R&D spending fell 20%, primarily because pediatric Crohn’s manufacturing work and SGX942 Phase 2 enrollment were completed in 2015; spending on SGX301 Phase 3 development continued.
- The year’s results included $1.54 million of other income from remeasurement of the 2013 warrant liability and a $390,599 gain from reversing an accrued amount no longer considered payable. These items improved reported earnings and are not recurring operating revenue.
- In November, the company amended certain 2013 warrants, lowering their exercise price from $5.10 to $0.80 after the reverse split, allowing cashless exercise and removing the down-round provision. The warrant liability was remeasured and reclassified to equity.
- Soligenix raised $5.28 million gross in a December public offering and received $3.00 million from SciClone for 352,942 shares. It also received $1.71 million from the Lincoln Park equity facility. Shares outstanding increased to 5,470,032 at year-end; 5,472,532 were outstanding on March 17, 2017.
- On September 9, 2016, Soligenix licensed SGX942 rights in China, Hong Kong, Macau, Taiwan, South Korea and Vietnam to SciClone for royalties and agreed to supply product on a cost-plus basis. SciClone is responsible for development and commercialization in those territories.
Outlook, risks and contingencies
- Management projected liquidity through at least March 31, 2018, based on cash, government funding, the Lincoln Park facility and New Jersey NOL sales. This outlook depends on financing access and government awards/options; the company warned that further funding may be needed and that equity financing could dilute shareholders.
- Management forecast approximately $10.7 million of R&D spending over the next 12 months, including $5.8 million for BioTherapeutics and $4.9 million for Vaccines/BioDefense; about $4.9 million was expected to be reimbursed under existing contracts and grants.
- Up to $17.3 million of awarded government contract funding was described as available, subject to agency options and continuation. BARDA elected not to extend its OrbeShield contract beyond the base period; the related NIAID contract and BARDA base period were expected to end in the first quarter of 2017. Additional funding was not assured.
- Management’s stated development plans included preliminary results from the SGX301 pivotal Phase 3 trial in the second half of 2017; FDA agreement on an SGX942 Phase 3 protocol and trial initiation in the first half of 2017; and planned SGX203 Phase 3 initiation in the second half of 2017. These were forward-looking plans, not results or guarantees.
- Key risks include clinical-trial failure or delay, regulatory uncertainty, dependence on government funding, reliance on single-source contract manufacturers and external trial partners, competition, intellectual-property and licensing risks, limited commercialization capacity, and potential future financing and dilution.
- Potential milestone obligations include up to $7.9 million under collaboration and license agreements, plus royalties up to 6% of covered-product net sales; separate SGX301 asset-purchase milestones could reach $10 million in restricted stock if specified success milestones are achieved. These amounts were not accrued at year-end.
- The company reported effective disclosure controls and internal control over financial reporting. The independent auditor issued an unqualified opinion on the consolidated financial statements; the auditor did not express an opinion on internal control effectiveness.
Most important facts for investors to verify
- Current cash runway and whether subsequent government awards, contract options, or equity-facility proceeds support management’s stated liquidity outlook.
- Actual enrollment, timing and results for SGX301 Phase 3, and the FDA-agreed design and execution of SGX942 and SGX203 pivotal trials.
- Funding consequences of BARDA’s decision not to extend the OrbeShield contract and the status of replacement funding.
- Whether SciClone’s regional license produces development progress, royalties or other meaningful revenue; the company had no product-sales revenue in 2016.
- Potential dilution from warrants, options and remaining Lincoln Park capacity. At year-end, 2,853,575 warrants and 330,605 options were outstanding; the 2016 public-offering warrants carried a $3.95 exercise price.
- The effects of nonrecurring warrant remeasurement and the liability settlement gain when assessing the improvement in net loss, and the assumptions underlying management’s forward-looking market and procurement estimates.
