Revenue included $244,290 in grant revenue and $666,307 in contract revenue; the prior-year quarter had no contract revenue. Gross profit increased mainly because OrbeShield contracts provide management fees and higher overhead reimbursement. R&D growth primarily reflected the SGX942 Phase 2 trial, increased headcount, and stock-based compensation; G&A growth reflected professional services, headcount, and stock-based compensation.

Cash declined $249,392 during the quarter. Investing cash outflow was $19,863 and financing cash inflow was $158,250 from the Lincoln Park equity facility. Operating cash use was partly offset by noncash adjustments and collections of receivables, including $750,356 of New Jersey tax proceeds. No borrowings or conventional debt are reported on the presented balance sheet. Total current liabilities were $11.12 million, including a $9.52 million warrant liability; management’s stated $4.80 million working capital excludes that noncash liability. Total shareholders’ deficiency was $4.11 million.

Material changes and unusual items

  • Net loss increased by $2.24 million year over year, principally due to a $1.74 million noncash charge from remeasuring warrant liabilities at fair value. The warrant liability increased to $9.52 million from $8.28 million at year-end, partly offset by a $502,025 reclassification upon partial warrant exercise.
  • Weighted-average shares rose to 19.74 million from 11.18 million. During the quarter, the company issued shares through the Lincoln Park facility, for vendor services, and through cashless warrant exercise. Outstanding shares at March 31 were 19.85 million.
  • Operating expenses increased while revenue was nearly flat. SGX942-related R&D rose substantially; Vaccines/BioDefense segment operating results improved to $139,404 income from a $30,995 loss, while BioTherapeutics’ operating loss widened.

Outlook, risks, and contingencies

  • Management stated that available cash, government funding, the Lincoln Park facility, and New Jersey tax-credit transfer proceeds were expected to cover working capital and capital expenditures for at least 12 months. It cited approximately $32.3 million of active grant and contract funding and approximately $9.8 million remaining under its $10 million Lincoln Park facility, available through October 2016. These sources and management’s runway assessment are subject to funding, market, and execution risks.
  • For the next 12 months, the company expected approximately $10.9 million in R&D expenditures before grant reimbursements, and approximately $6.8 million in contract and grant revenue. Planned priorities included SGX942 Phase 2, SGX203 pediatric Crohn’s disease development, and funded biodefense programs.
  • Management expected SGX942 Phase 2 data and orBec Phase 2 data in the second half of 2014; SGX203 and SGX201 studies were planned for the second half of 2014. Product development, clinical outcomes, regulatory review, and continued government funding remain uncertain. Some development plans are contingent on additional funding.
  • The company reported approximately $344,000 in research and development commitments and $125,000 in lease and other obligations, totaling $469,000 over the listed schedule. Collaboration and license agreements may require milestones, including up to $7.9 million, and royalties up to 6% of covered product net sales if success milestones are achieved.
  • Risks include the clinical-stage nature of the business, dependence on grants and contracts, need for additional capital, possible equity dilution, and warrant-liability fair-value volatility. Management reported no additional risk factors beyond those in its 2013 Form 10-K. It concluded disclosure controls were effective and reported no material quarterly change in internal control over financial reporting.

Important facts for investors to verify

  • Whether SGX942 and orBec trial timelines and anticipated data remain on track, and what the results show.
  • Whether government grants and contracts, including options and remaining awards, are available and sufficient to support planned programs and reimbursements.
  • Cash burn, actual runway, and access to the remaining Lincoln Park facility or other financing on acceptable terms.
  • The effect of warrant remeasurement, exercises, and future share issuance on reported losses, liabilities, and shareholder dilution.
  • Whether the reported $4.80 million working-capital figure remains meaningful when considered alongside the $9.52 million warrant liability and total current liabilities.
