Sentage Holdings Inc. annual report, Q4 FY2023

Sentage Holdings Inc. — FY2023 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter filing; separate Q4 results are not provided. Financial amounts below are in U.S. dollars unless stated otherwise.

Business context

Sentage is a Cayman Islands holding company with substantially all business conducted in China through variable interest entities (VIEs), which it consolidates under U.S. GAAP through contractual arrangements rather than equity ownership. Its businesses are consumer loan repayment and collection management, loan recommendation, and prepaid payment network services. In 2023, only the prepaid payment network business generated revenue.

Current assets were $11.69 million and current liabilities $335,010, but current assets included $9.12 million of prepaid expenses and other current assets, largely described as a deposit relating to a commissioned e-commerce technology services business acquisition. The filing does not clearly explain the nature, timing, or recoverability of this substantial balance. Net accounts receivable was $284,628, after a $194,252 allowance for doubtful accounts.

The company reported a $344,235 non-interest-bearing advance from controlling shareholder Qiaoling Lu, classified as non-current; she stated she would not seek repayment until at least 12 months after issuance of the financial statements. A $5.5 million loan receivable outstanding at year-end 2022 was collected in full in April 2023. Sentage also agreed to invest $10 million for an 11.11% interest in Kangguozhen International Holdings Limited; $1 million had been paid by year-end 2023.

Changes, outlook, and notable risks

  • Revenue fell sharply from 2021 as prior collection engagements were completed and loan recommendation activity stopped. Payment-network revenue declined modestly in 2023, with three merchant customers compared with four in 2022.
  • The 2023 net loss narrowed as selling, general and administrative expenses fell, mainly due to lower professional fees and reduced headcount. An asset impairment loss contributed to net other expense of $139,722, versus other income of $9,100 in 2022.
  • Management says it is adjusting and improving services to address market demand and intends to seek new clients and partners. It provides no quantitative revenue or earnings guidance. Management expects to meet operating needs using operating cash and shareholder support, while also noting possible need for external financing.
  • The business remains highly dependent on the VIE agreements, which have not been tested in a Chinese court. Investors own shares in the Cayman holding company, not equity in the PRC operating entities; loss of VIE control or consolidation could materially impair the business and share value.
  • China regulatory, licensing, data-security, foreign-exchange and cash-transfer requirements create material uncertainty. The payment license was renewed through July 19, 2027; a payment-system technical certification was being renewed, with completion expected by June 2024. The company says it was not subject to a CAC cybersecurity review and had received no formal CSRC inquiry as of the report date; future offerings may require CSRC filings.
  • Customer concentration is significant: one customer represented 63.6% of 2023 revenue and 57.4% of year-end receivables. The company also depends on NetsUnion for payment processing.
  • Management concluded internal control over financial reporting was ineffective at year-end 2023. The auditor identified weaknesses in finance and accounting staffing/U.S. GAAP policies and in formal risk assessment and internal-control procedures. The auditor issued an unqualified opinion on the financial statements but did not attest to internal-control effectiveness.
  • No dividends have been paid, and the company does not expect to pay dividends in the foreseeable future. The filing reports no material pending litigation and no material subsequent event through issuance of the financial statements.

Most important facts for investors to verify

  • Whether the $9.085 million acquisition-related other receivable/prepayment is recoverable, what transaction it relates to, and any remaining obligations under the proposed $10 million investment commitment.
  • Cash runway and expected funding needs given recurring losses, negative operating cash flow, and reliance on shareholder advances or possible outside financing.
  • Collections, aging and customer credit quality for receivables, including the sharp increase in the doubtful-account allowance and customer concentration.
  • Progress in restoring revenue from loan recommendation and collection management, and whether prepaid-payment revenue can grow beyond three customers.
  • Completion of the payment-system certification renewal, compliance with applicable PRC requirements, and the practical enforceability of the VIE arrangements.
  • Remediation of the disclosed internal-control weaknesses and the reliability of future reporting. Also reconcile apparent inconsistencies in the filing’s segment presentation: its 2021 segment table appears to assign loan recommendation and prepaid-payment revenue amounts opposite to the detailed income statement and revenue narrative.
