Material changes versus the prior comparable period

  • Revenue declined in both wireless and software. Wireless paging revenue fell 2.3% in Q3, while subscriber units decreased to 0.8 million from 0.9 million year over year; higher average revenue per user partly offset unit declines.
  • Software revenue weakness was concentrated in professional services, down 31.8% in Q3, and maintenance, down 4.8%. License revenue rose 18.8% in Q3 but was not enough to offset declines elsewhere.
  • Lower operating expenses more than offset lower revenue in Q3. The nine-month expense reduction was also substantial, but restructuring charges increased to $6.4 from $0.3 for the first nine months of 2021.
  • Operating cash flow deteriorated from positive $9.5 to negative $0.1 for the nine-month period, while cash distributions to stockholders rose to $18.8 from $7.6.

Outlook, management commentary, and risks

  • In February 2022, Spok discontinued development of Spok Go and refocused on its established Care Connect Suite and wireless offerings, aiming to reduce costs, generate cash, and return capital to stockholders.
  • The company expects total restructuring charges of $7.0–$8.0, including severance and personnel costs of $5.7–$6.6 and contractual terminations of $1.3–$1.4. It expected the restructuring to be substantially complete in Q4 2022; approximately 183 positions were expected to be eliminated, with most terminations completed by September 30.
  • Management expects wireless demand to continue declining as customers shift to competing technologies. Maintenance revenue is expected to be slightly lower until product enhancements and new business can better offset customer churn. Management cited improving software sales conditions but noted implementation timing and project complexity can make software revenue fluctuate.
  • Management stated that cash on hand and anticipated operating cash flows should cover short- and long-term requirements, while warning that cash could decline in 2022 due to restructuring. Future positive operating cash flow is an expectation, not a guarantee. The company said it may reduce capital spending or dividends, forego repurchases, sell assets, or seek financing if cash proves insufficient.
  • The board authorized up to $10 million in share repurchases; none had occurred through September 30. A $0.3125-per-share quarterly dividend was declared after quarter-end for payment in December 2022. Future dividends remain subject to board declaration.
  • Goodwill was $99.2; the Q3 qualitative assessment found no impairment trigger, but the company cautioned that future impairment charges remain possible. Other risks include continued wireless attrition, software bookings and delivery timing, restructuring execution, and cash access at financial institutions. Management reported no material change in previously disclosed risk factors and no material change in commitments and contingencies.

Important facts for investors to verify

  1. Whether the restructuring was completed as planned and final charges and cash payments remained within the $7.0–$8.0 estimate.
  2. Whether operating cash flow recovered after the nine-month shortfall, and how cash balances were affected by dividends and any share repurchases.
  3. Whether wireless subscriber losses, software services revenue, and maintenance churn followed management’s stated expectations.
  4. Whether the declared quarterly dividend was maintained and whether future cash generation supports continued capital returns.
  5. Whether the annual goodwill impairment assessment or changes in deferred tax asset valuation allowances resulted in material charges.
