TransMedics Group, Inc. — FY2020 Form 10-K
Reporting period: Fiscal year ended December 31, 2020, compared with the year ended December 28, 2019. This is an annual report, not a standalone Q4 filing; Q4 figures below are unaudited quarterly data included in the 10-K.
Business context
TransMedics is a commercial-stage medical technology company developing and selling its Organ Care System (OCS), a portable platform that perfuses donor organs in a functioning state during preservation. Revenue is driven primarily by single-use disposable sets and solutions. OCS Lung is FDA-approved for currently utilized and previously unutilized donor lungs; OCS Heart and OCS Liver were not yet FDA-approved for U.S. commercial use at year-end. The company reported more than 1,800 human transplants using OCS products.
Financial performance and position
| Metric | FY2020 | FY2019 |
|---|---|---|
| Net revenue | $25.6 million | $23.6 million |
| Gross profit / gross margin | $16.6 million / 65% | $13.9 million / 59% |
| Operating loss | $26.4 million | $29.6 million |
| Net loss | $28.7 million | $33.5 million |
| Cash used in operating activities | $30.3 million | $32.3 million |
- Revenue increased 9%. By product, OCS Lung revenue was $6.2 million (down from $8.7 million), OCS Heart $14.2 million (up from $11.4 million), and OCS Liver $5.2 million (up from $3.5 million). U.S. revenue rose to $19.2 million; revenue outside the U.S. declined to $6.4 million.
- Gross margin improved six percentage points, attributed mainly to higher U.S. disposable-set selling prices and cost-control measures.
- Q4 FY2020 revenue was $7.6 million and net loss was $6.3 million.
- At December 31, 2020, cash and cash equivalents were $24.6 million and marketable securities were $101.1 million, totaling $125.6 million. The company said these resources were expected to fund operations, capital expenditures and debt service for at least 12 months after filing.
- Outstanding debt principal was $35.0 million; balance-sheet carrying value, net of discount and accrued end-of-term amounts, was $34.7 million. The OrbiMed facility matures in June 2023, bears variable-rate interest (9.5% at year-end), and is secured by substantially all company assets. The company reported covenant compliance.
- Financing cash flow included $75.1 million net proceeds from a May 2020 stock offering. Shares outstanding increased to 27.2 million at year-end from 21.2 million.
Changes, outlook and material risks
- COVID-19 disrupted transplant procedures, clinical activity, customer access and international sales. Lung procedures were especially affected; U.S. OCS Lung revenue fell from $8.0 million to $5.4 million. Manufacturing and distribution returned to pre-pandemic levels in May 2020, but management expected sales to remain affected in 2021. No quantified revenue guidance was provided.
- Management expects continued losses and additional spending on commercialization, manufacturing capacity, research and development, clinical trials and regulatory submissions. It may need additional financing; the timing and terms are uncertain.
- The OCS Heart PMA remained under FDA review, with an advisory committee meeting expected April 6, 2021. The OCS Liver PMA, submitted in June 2020, was also under review. Management expected to submit a Heart DCD PMA supplement in 2021. Regulatory decisions or requests for additional evidence could delay or prevent approvals.
- Clinical evidence includes both positive findings and caveats: the Lung EXPAND trial reported 87% utilization but did not meet its prespecified primary effectiveness endpoint. In a post-hoc long-term analysis of Heart PROCEED II, graft-related deaths were similar between groups, while overall deaths were higher in the OCS group.
- Other key risks include customer concentration (two customers represented 24% of 2020 revenue), reliance on single- or sole-source suppliers, reimbursement uncertainty—particularly outside the U.S.—and the pending transition to stricter EU medical-device rules.
- The company entered a non-cancellable $9.5 million purchase commitment in January 2021, extending through 2029. No material legal proceedings were reported. The independent auditor issued an unqualified opinion on the financial statements; it did not attest to internal-control effectiveness, and management reported controls were effective.
Important facts for investors to verify
- Track actual commercial OCS Lung adoption and revenue separately from Heart and Liver clinical-trial revenue, and assess the extent of COVID-19-related recovery.
- Monitor FDA outcomes and timing for the Heart and Liver applications, including any added data requirements and the Heart DCD supplement.
- Review trial results in full, including the Lung EXPAND primary-endpoint miss and the Heart PROCEED II long-term mortality analysis.
- Assess operating cash burn against the $125.6 million year-end liquidity, debt service and the company’s stated 12-month funding outlook.
- Check whether customer concentration, supplier dependence and international reimbursement or EU recertification create material changes to growth prospects.
