Product revenue was $74.7 million, clinical laboratory services revenue was $7.9 million and point-of-care revenue was $10.3 million. Revenue by customer location was $57.8 million in the Americas, $25.5 million in Asia/Africa and $9.7 million in Europe.

Operating cash flow declined primarily because of lower operating cash generation and higher working-capital outflows. Investing cash outflow was $8.7 million, principally comprising $6.9 million of capitalized intangible development costs and $1.8 million of property, plant and equipment expenditure. Financing cash outflow was $6.0 million.

Material changes versus the prior comparable period

  • Revenue declined primarily because 2020 benefited from exceptional demand and pricing for PCR viral transport media, while capacity expansion globally reduced 2021 prices and demand.
  • Clinical laboratory goods revenue fell 11.4%, while point-of-care revenue increased approximately 12% due mainly to higher HIV sales in Africa.
  • Diabetes-related testing revenue increased approximately 20% as testing schedules normalized, partly offset by lower hemoglobinopathy revenue following the U.S. Ultra II instrument recall.
  • Gross margin contracted materially because of lower viral transport media pricing, lower margins in the Fitzgerald life-science supply business and the absence of certain 2020 government payroll supports.
  • Operating profit improved despite lower revenue, supported by lower selling, general and administrative expense, lower impairment charges and $4.7 million of other operating income, primarily forgiven U.S. Paycheck Protection Program loans and related COVID-19 support.
  • Impairment charges fell to $6.9 million from $17.8 million. The 2021 charges included approximately $5.0 million for Immco Diagnostics, $1.0 million for Trinity Biotech Brazil and $0.9 million related to a development project.
  • The workforce declined to 477 employees from 543, reflecting cost-reduction actions and facility changes.

Debt, liquidity and going concern

  • At December 31, 2021, the balance sheet classified $83.3 million of exchangeable notes as current because holders could require repurchase at par beginning April 1, 2022. Total borrowings, including lease and other obligations, had a carrying value of approximately $99.2 million.
  • In January 2022, the Company drew an $81.25 million senior secured Perceptive Advisors term loan, issued 5.3 million ADSs and paid approximately $86.7 million to retire approximately 99.7% of the exchangeable notes. The term loan matures in January 2026, bears interest at 11.25% plus the greater of one-month LIBOR or 1%, and is secured by substantially all company assets.
  • The Perceptive facility requires at least $5.0 million of unrestricted cash and compliance with minimum-revenue covenants. A covenant breach could accelerate the debt and permit enforcement against pledged assets.
  • Management concluded that the Group could continue as a going concern for at least 12 months from the report date, relying on cash generation, refinancing and external financing. The 2021 balance sheet nevertheless showed net current liabilities and a shareholders’ equity deficit.
  • In April 2022, Trinity announced a proposed $45 million MiCo strategic investment, consisting of approximately $25.2 million of equity and a $20 million seven-year junior convertible note. The investment was subject to customary Korean approvals and was intended primarily to repay part of the Perceptive term loan.

Guidance, outlook and unusual items

  • Management expected non-COVID product demand to increase in 2022 as vaccination programs enabled more patients to return to physicians. Demand for COVID-related products remained highly uncertain.
  • The Company expected to launch a rapid COVID-19 antigen test and sought CE marking for professional use in the second quarter of 2022. It also planned to submit the Premier Resolution hemoglobin analyzer to the FDA in 2022.
  • TrinScreen HIV received World Health Organization approval in February 2022, opening a potential HIV screening market that management estimated at approximately $150 million annually.
  • The Company wrote off the COVID-19 rapid antibody test development asset because the FDA did not prioritize its EUA application and management concluded that demand would be limited. Resources were redirected toward a COVID-19 antigen test.
  • Material uncertainties include COVID-19 demand volatility, supply-chain disruption, pricing pressure, product recalls, FDA and other regulatory requirements, foreign exchange movements, customer and distributor concentration, and the ability to satisfy debt covenants and raise additional capital.
  • The filing reports no material pending legal proceedings known to the Company. Potential grant repayment obligations were approximately $3.1 million if specified conditions were not met.

Most important facts for investors to verify

  • Whether the MiCo transaction closed, received required approvals and generated the expected $45 million of funding.
  • Current compliance with the Perceptive term-loan cash and minimum-revenue covenants, including the remaining principal balance and effective interest cost.
  • Post-2021 revenue trends, gross margin and demand for viral transport media and other COVID-related products.
  • Regulatory status of the Premier Resolution, rapid COVID-19 antigen test and other products, including remediation related to the FDA warning letter and prior recalls.
  • Whether inventory reserves, capitalized development costs, goodwill and other intangible assets require further impairment.
  • Potential dilution from the ADSs issued in the note retirement, Perceptive warrants for 2.5 million ADSs and outstanding options and warrants.
  • Liquidity after debt refinancing, expected operating cash flow and the Company’s ability to fund approximately $6.5 million to $7.5 million of planned 2022 development expenditure.
