Segment Performance

Brand Tripadvisor$1.031 billionUp 7%$348 million
Viator$737 millionUp 49%
TheFork$154 millionUp 22%$(14) million

Brand Tripadvisor revenue growth reflected stronger experiences, hotel business-to-business revenue, media advertising, and non-European hotel metasearch. European hotel metasearch revenue declined during the last three quarters. Brand Tripadvisor Adjusted EBITDA margin decreased to 34% from 36%.

Viator benefited from higher experience bookings and pricing, product improvements, and continued online migration from offline channels. Increased performance marketing and brand investment supported growth, and the segment reached approximately break-even Adjusted EBITDA compared with an $11 million loss in 2022.

TheFork benefited from increased dining demand, bookings, pricing, and favorable foreign exchange. Its Adjusted EBITDA loss improved to $14 million from $39 million, partly due to lower marketing costs.

Liquidity, Debt, and Capital Allocation

  • Cash and cash equivalents were $1.067 billion at December 31, 2023, compared with $1.021 billion at December 31, 2022.
  • The company had $496 million of available borrowing capacity under its $500 million revolving Credit Facility and no outstanding revolver borrowings.
  • Outstanding principal debt totaled $845 million: $500 million of 7.0% Senior Notes due July 2025 and $345 million of 0.25% Convertible Senior Notes due April 2026. Carrying value was $839 million.
  • The company was in compliance with Credit Facility covenants at year-end and stated that it expects sufficient liquidity for at least the next twelve months.
  • The company repurchased $100 million of common stock during 2023, including $75 million under the prior authorization and $25 million under a new authorization. The new $250 million program had $225 million remaining at year-end but was subsequently suspended in connection with Liberty TripAdvisor Holdings’ evaluation of potential alternatives and the company’s Special Committee process.
  • No dividends were declared or paid during 2023, 2022, or 2021.

Material Changes Versus 2022

  • Revenue increased 20%, led by Viator’s 49% growth and TheFork’s 22% growth.
  • Operating income improved, but net income declined because of higher taxes, increased marketing investment, personnel costs, transaction costs, and restructuring charges.
  • Operating cash flow declined 41% to $235 million, primarily because of the $113 million IRS-related tax payment, the absence of a $64 million CARES Act refund received in 2022, and working-capital movements.
  • The company recorded $22 million of restructuring and reorganization costs, primarily severance. Management estimates annualized cost savings of approximately $35 million in Brand Tripadvisor, including corporate expenses, and $10 million in TheFork.
  • Digital services tax expense increased to $18 million from $9 million.
  • Cash increased modestly despite share repurchases and lower operating cash flow, supported by operating cash generation and existing cash balances.

Guidance, Outlook, Risks, and Unusual Items

The filing does not provide a clear numerical revenue or Adjusted EBITDA outlook for 2024. Management expects to continue investing in Viator, TheFork, and experiences across the portfolio to expand online adoption, market share, and long-term operating scale. Cost-reduction actions are expected to produce annualized savings during 2024, although the filing states that they did not materially reduce 2023 expenses.

  • Tax contingencies: A January 2024 MAP resolution for the 2014–2016 tax years, accepted in February 2024, is expected to increase first-quarter 2024 income tax expense by $30 million to $60 million and cause 2024 net operating cash outflows of $80 million to $130 million. Additional adjustments for open tax years after 2016 could be material. A separate HMRC matter could increase tax expense by $25 million to $35 million, excluding interest, if the authority prevails.
  • Partner concentration: Expedia and Booking collectively represented approximately 25% of 2023 revenue. Many partner agreements are terminable at will or on short notice.
  • Search and traffic dependence: Changes by Google and other search or metasearch providers could reduce organic traffic, increase acquisition costs, or weaken hotel metasearch monetization.
  • Travel and macroeconomic exposure: Demand is sensitive to discretionary spending, inflation, recessions, geopolitical conflict, terrorism, public health events, extreme weather, and travel restrictions.
  • Competition and execution: The company competes with large OTAs, metasearch platforms, search engines, social media companies, experiences marketplaces, restaurant reservation providers, and artificial-intelligence-driven travel products.
  • Cybersecurity and regulation: Data breaches, privacy laws, payment regulations, content liability, competition regulation, tax changes, and the pending European payment institution licensing process could increase costs or restrict operations.
  • Control and governance: Liberty TripAdvisor Holdings beneficially controlled approximately 57% of voting power through its Class B shares, making it a controlling stockholder. The company relies on the Nasdaq controlled-company exemption for certain governance requirements.
  • Convertible debt: The 2026 Senior Notes have an initial conversion price of approximately $73.81 per share and mature in April 2026. Conversion or refinancing requirements could affect liquidity and dilution.
