Material Changes Versus the Prior Period

  • COVID-19 caused a severe decline in travel, hospitality, restaurant and leisure demand. Annual revenue was approximately 40% of 2019 levels; revenue in November and December was approximately 33% of the prior-year comparable periods.
  • Monthly unique users on Tripadvisor websites averaged approximately 67% of prior-year levels in the second half of 2020 and approximately 60% in the fourth quarter, versus approximately 70% in the third quarter.
  • Management reduced advertising, traffic acquisition, discretionary spending, hiring, personnel and office costs. The company eliminated more than 900 positions, furloughed employees and ended the year with 2,596 employees, approximately 38% fewer than a year earlier.
  • Restructuring and reorganization costs were $41 million, compared with $1 million in 2019. The company also recorded a $3 million goodwill impairment charge related to Tripadvisor China and a $6 million loss on the sale of SmarterTravel.
  • Revenue declines and cancellations caused deferred merchant payables to fall to $36 million from $159 million and contributed to substantial negative operating cash flow.
  • The company repurchased 4.7 million shares for $115 million during 2020, leaving $75 million authorized, although debt agreements restrict additional repurchases and dividends.
  • The company adopted the expected credit loss standard in 2020, recorded a $3 million cumulative-effect reduction to retained earnings and increased its allowance for credit losses to $33 million from $25 million.

Outlook, Commentary and Risks

  • Management believes long-term travel demand will recover to pre-pandemic levels but cannot predict the timing or shape of recovery. It expected first-quarter 2021 results to remain materially affected by COVID-19.
  • Key uncertainties include renewed travel restrictions, virus variants, vaccine distribution, changes in consumer travel behavior, supplier and restaurant insolvencies, cancellations, advertiser spending and economic recession risk.
  • Management is pursuing higher consumer engagement, direct traffic, membership, mobile usage, personalization, advertising products, experiences, dining and direct-to-consumer subscription offerings. A subscription membership and travel concierge service were beta-launched in December 2020.
  • Search-engine dependence is material, particularly dependence on Google, whose competing travel products and algorithm changes may reduce traffic and increase acquisition costs.
  • Expedia and Booking each represented at least 10% of revenue; together they represented approximately 25% of 2020 revenue, creating significant customer concentration risk.
  • Tax contingencies are significant. Proposed IRS transfer-pricing adjustments could increase worldwide tax expense by approximately $95 million to $105 million, excluding interest and deferred tax effects. A separate HMRC matter could add approximately $45 million to $55 million, excluding interest, if the authorities prevail.
  • The company had $178 million of unrecognized tax benefits, including interest, excluded from its contractual-obligations table. It also had $860 million of disclosed contractual obligations, including debt, interest and lease commitments.
  • Liberty Tripadvisor Holdings controlled approximately 58.5% of voting power through its Class B shares, and the company relies on Nasdaq’s controlled-company governance exemptions.
  • KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. Revenue evidence sufficiency was identified as a critical audit matter because of numerous revenue streams and supporting IT systems.

Investor Verification Checklist

  • Verify the pace and durability of travel, hotel, experiences and restaurant recovery, including quarterly revenue and traffic trends.
  • Track liquidity, operating cash flow, deferred merchant payables, debt covenant compliance and the company’s ability to service 7.0% senior notes.
  • Review the status and potential cash impact of the IRS and HMRC transfer-pricing disputes and other unrecognized tax benefits.
  • Assess whether cost reductions and workforce changes impair product development, customer service or the company’s ability to scale during recovery.
  • Monitor revenue concentration with Expedia and Booking, Google search exposure, traffic acquisition costs and changes in advertising demand.
  • Evaluate future goodwill, intangible-asset and investment impairment risk if recovery is delayed.
  • Review restrictions on share repurchases and dividends under the revolving credit agreement and senior-note indenture.
