Material changes and unusual items

  • GAAP net income and EPS improved year over year largely because non-operating investment results swung to $504.1 million of income from a $425.5 million loss. Operating income declined, and non-GAAP EPS fell.
  • GAAP operating expenses rose 8.7% to $4.47 billion. Supplemental savings plan market movements accounted for about 70% of the increase, with a corresponding hedge-related gain in non-operating income. On a non-GAAP basis, expenses rose 4.2% to $4.26 billion.
  • Capital allocation-based income was $161.9 million, compared with a $54.3 million reduction in revenue in 2022. It included an increase in accrued carried interest, which can fluctuate and may not be realized immediately.
  • OHA-related contingent consideration fell to $13.4 million from $95.8 million, generating an $82.4 million GAAP expense reduction. Acquisition-related amortization and impairment costs were $134.2 million, down from $283.5 million in 2022, which included substantial intangible-asset impairments.
  • The effective GAAP tax rate increased to 26.3% from 25.6%, including an $86.4 million increase in valuation allowances, primarily related to UK deferred tax assets.

Outlook, risks, and contingencies

Management estimates 2024 non-GAAP operating expense growth, excluding accrued carried-interest compensation, of 3%–5% from the 2023 base of $4.19 billion. It estimates a 2024 effective tax rate of 23%–27% GAAP and 23%–26% non-GAAP. Planned 2024 property and equipment expenditures are about $487 million, including completion of the new Baltimore headquarters. The filing provides no revenue or earnings guidance.

Key risks include market declines and changes in AUM mix, sustained net outflows, weaker relative investment performance, fee and passive-investing pressure, and clients’ ability to terminate advisory contracts on short notice. Other material exposures include regulatory change, cybersecurity and third-party technology risks, talent retention, geopolitical and climate-related disruptions, foreign currency movements, and potential impairment of OHA-related assets. Management says ordinary-course legal claims are not expected to have a material adverse effect; the auditor issued unqualified opinions on the financial statements and internal controls. The filing reports no cybersecurity incident in 2023 that materially affected the firm.

The firm paid $4.88 per share in regular dividends during 2023 and repurchased about 2.4 million shares for approximately $254 million. It has a remaining commitment of $404 million to fund OHA products through 2026, plus $94.1 million of commitments to investment partnerships.

Important facts for investors to verify

  • Whether equity outflows persist and whether target-date and alternative inflows can offset them.
  • How average AUM, product mix, and the effective fee rate affect advisory revenue and margins.
  • How much of 2023 GAAP earnings growth came from market-sensitive investment gains, carried interest, and other items excluded from non-GAAP results.
  • The accessibility and risk profile of reported cash and investment balances, including assets in consolidated funds, seed investments, and supplemental savings plan hedges.
  • Progress against the 2024 expense, tax-rate, and capital expenditure outlook, and the remaining OHA funding and earnout exposure.
