  • Q3 and nine-month results benefited significantly from the absence of approximately $134.6 million of 2020 goodwill and indefinite-lived intangible impairment charges, primarily in Aerospace.
  • Nine-month 2021 results included $10.5 million of debt financing and related expenses, principally the redemption premium and write-off of issuance costs associated with the retired 2025 Senior Notes.
  • Capital expenditures were $29.9 million in the first nine months, compared with $17.7 million in the prior-year period. Investing cash use was $29.7 million versus $110.9 million, largely because 2020 included $95.2 million of acquisitions.

Packaging$138.0 million$27.3 million$409.7 million$76.5 million
Aerospace$46.5 million$4.0 million$135.7 million$10.6 million

  • Packaging sales rose modestly in Q3, with acquisition and food, beverage, and industrial demand offsetting lower pandemic-related dispensing sales. Operating profit declined year over year because resin and other material costs exceeded recovered price increases by approximately $3 million in Q3 and $9 million for the nine months.
  • Aerospace sales increased primarily from customer stocking orders, including approximately $6.9 million of specialized fastener orders in Q3 and approximately $20.8 million in the first nine months. Management stated that underlying aerospace demand remains substantially below historical levels.
  • Specialty Products benefited from stronger North American industrial and oil-field activity. Q3 sales increased 50.3%, while nine-month operating profit increased to $17.2 million from $0.9 million.

Debt, Liquidity and Capital Allocation

  • In March 2021, TriMas issued $400.0 million of 4.125% senior unsecured notes due April 2029. It redeemed the $300.0 million of 4.875% notes due 2025 and repaid all revolving-credit borrowings.
  • Net long-term debt was $393.6 million at September 30, 2021, compared with $346.3 million at December 31, 2020. The increase reflects the refinancing structure and issuance costs.
  • The amended revolving credit facility provides $300.0 million of capacity through March 2026; none was outstanding at September 30, 2021. TriMas reported $300.0 million of availability and compliance with all financial covenants.
  • Actual total net leverage was 1.65x versus a 4.00x covenant limit; interest coverage was 12.94x versus a 3.00x minimum.
  • TriMas repurchased 570,084 shares for approximately $18.2 million during the first nine months and had approximately $143.5 million remaining under its authorization at September 30, 2021.
  • On October 21, 2021, the board declared a first-ever quarterly dividend of $0.04 per share, payable November 10, 2021.

Material Changes, Outlook and Risks

  • Management expects pandemic-related uncertainty to continue. Packaging hygiene-related demand remains above pre-pandemic levels but below 2020 peaks; Aerospace is expected to remain depressed for an indefinite period; and Specialty Products demand has begun recovering.
  • Customer stocking orders supported 2021 Aerospace results but may not recur. New commercial aircraft production and air travel recovery remain key uncertainties.
  • Higher resin, steel, and other input costs are pressuring earnings because customer price recovery generally lags cost increases. Supply availability, tariffs, currency movements, and production inefficiencies remain risks.
  • TriMas recorded approximately $8.8 million of 2021 realignment charges, including facility consolidations and employee separation costs. Management may incur additional cash or non-cash charges for further restructuring, excess inventory, idle equipment, or uncollectible receivables.
  • Asbestos-related liabilities totaled $26.8 million at September 30, 2021. TriMas reported 370 pending cases involving 4,709 claimants and stated that it does not expect the matters to have a material adverse effect, although future claims and defense costs remain uncertain.
  • The company believes cash flows, cash on hand, and revolver availability are sufficient for foreseeable debt service, capital expenditures, dividends, share repurchases, and other obligations.

Important Facts for Investors to Verify

  • Whether Aerospace revenue growth reflects sustainable market recovery or temporary customer stocking orders.
  • Whether Packaging can recover resin and other material inflation through pricing without further margin erosion.
  • The sustainability of cash generation after working-capital investment, capital expenditures, share repurchases, and the new dividend.
  • Compliance with leverage and interest-coverage covenants following any acquisitions, repurchases, or additional borrowing.
  • The ultimate cost and timing of asbestos claims and any additional restructuring or impairment charges.
  • The extent to which 2021 earnings growth is attributable to the absence of exceptional 2020 impairment and restructuring charges rather than recurring operating improvement.
