Other income was $314,000 in Q3 and $1.1 million for the nine months, down from $836,000 and $2.5 million, respectively, in the comparable periods. The decline primarily reflected lower German pandemic-relief funding. Income tax expense was $1.0 million in Q3 and $3.5 million for the nine months; effective tax rates were approximately 30% and 28%, respectively.

Revenue growth was led by Travelzoo North America, which generated $13.4 million in Q3 revenue and $42.3 million for the nine months, and Travelzoo Europe, which generated $6.0 million and $17.8 million, respectively. Jack’s Flight Club revenue was $1.2 million in Q3 and $3.2 million for the nine months.

Cash Flow, Liquidity, Debt and Capital Allocation

  • Cash and cash equivalents were $15.9 million at September 30, 2023, compared with $18.7 million at December 31, 2022. Cash, cash equivalents and restricted cash totaled $16.6 million.
  • Operating cash flow was $9.3 million for the nine months ended September 30, 2023, compared with cash usage of $20.8 million in the prior-year period.
  • Investing cash flow was an outflow of $104,000, principally reflecting $217,000 of property and equipment purchases, partly offset by $113,000 collected on the Japan loan.
  • Financing cash flow was an outflow of $12.1 million, principally reflecting $11.8 million of share repurchases.
  • The filing does not report conventional borrowings or funded debt. Operating lease liabilities totaled $9.7 million, including $2.6 million current and $7.1 million long term.
  • Merchant payables were $23.7 million, primarily related to unredeemed vouchers. Because these are classified as current, reported net working capital was negative $8.0 million; merchant payments generally occur when vouchers are redeemed.
  • Management expects cash on hand to meet working-capital needs for at least twelve months, but notes that accelerated voucher redemptions, weaker profitability, or lower operating cash flow could require additional financing.

Material Changes Versus the Prior Comparable Period

  • Revenue increased 30% in Q3 and 22% for the nine-month period. Travel revenue increased substantially, while North American Local revenue declined due primarily to fewer Local Deals vouchers sold.
  • Gross margin improved by 180 basis points in Q3 and 100 basis points for the nine months, despite higher credit-card fees, compensation, and third-party network costs.
  • Operating margin improved materially as revenue growth outpaced expense growth. Sales and marketing increased 16% in Q3 and 14% for the nine months, while general and administrative expense increased modestly in Q3 but declined 4% for the nine months.
  • Travelzoo Europe returned to operating profitability, reporting $267,000 of operating profit in Q3 and $485,000 for the nine months, compared with losses of $551,000 and $1.8 million, respectively, in 2022.
  • Jack’s Flight Club membership increased to approximately 2.3 million, from 1.9 million in the prior-year quarter. Its Q3 operating margin improved to 12.2%, while its nine-month operating profit remained $196,000.
  • New Initiatives remained loss-making, with an operating loss of $317,000 in Q3 and $872,000 for the nine months, compared with losses of $209,000 and $491,000, respectively.
  • The company repurchased and retired 1.0 million shares for approximately $6.9 million during Q3. On October 24, 2023, the board authorized another program for up to 1.0 million shares.

Guidance, Outlook, Risks and Unusual Items

The filing does not provide formal quantitative revenue or earnings guidance. Management expects continued investment in marketing, technology and human resources and believes cash resources are sufficient for at least the next twelve months. Management also expects licensing royalties to increase as pandemic effects subside, but states that future results may fluctuate materially.

  • Voucher liquidity exposure: Approximately $5.9 million of unredeemed voucher commissions supported a $421,000 estimated refund liability, while merchant payables were $23.7 million. Actual redemption, expiration, refund and merchant-payment patterns could materially affect cash flow and revenue.
  • Related-party shareholder note: Azzurro Capital, controlled by the Bartel family, holds approximately 48% of Travelzoo’s shares and owed approximately $4.8 million under a note related to the MTE acquisition. In October 2023, the parties agreed to five installment payments from October 2023 through February 2024, with interest at 16% beginning July 1, 2023.
  • Travelzoo META: New Initiatives generated only $49,000 of revenue for the nine months and incurred an $872,000 operating loss, indicating that the initiative remains early-stage and financially immaterial relative to the core business.
  • Tax uncertainty: Unrecognized tax benefits totaled approximately $22.6 million, with accrued interest and penalties of $628,000. The filing also discloses approximately $23.2 million of total unrecognized tax benefits, including interest and penalties, in the liquidity discussion.
  • Internal controls: Management concluded disclosure controls were not effective because of a material weakness involving insufficient expertise and resources for unusual or complex transactions. Remediation is in progress, but the weakness had not been remediated as of the filing date.
  • Other risks: Key risks include dependence on travel and advertising demand, competition, member acquisition costs, foreign currency movements, cybersecurity, voucher refund estimates, litigation, tax examinations and the possible resurgence of pandemic-related disruption.

Investor Verification Checklist

  • Verify whether Azzurro makes the scheduled payments on the approximately $4.8 million shareholder note and whether related-party terms or collateral change.
  • Monitor voucher redemption rates, merchant-payable settlements, refund claims and the effect on operating cash flow and working capital.
  • Assess whether revenue growth remains concentrated in Travelzoo’s Travel products and whether declining Local revenue stabilizes.
  • Track the cost and returns of member acquisition, particularly as sales and marketing spending increases.
  • Evaluate Travelzoo META’s subscriber growth, revenue contribution and continuing operating losses.
  • Confirm remediation and eventual resolution of the material weakness in internal control over financial reporting.
  • Review the new post-quarter share repurchase program against cash balances, operating needs and potential financing requirements.
