Operating loss was $31.3 million. No product gross margin was reported because the company has no product sales. Q1 financing activities provided $108.0 million, primarily from the February follow-on offering, which generated $107.7 million net proceeds. Cash and restricted cash increased by $93.9 million during the quarter. The company reported $157.7 million of stockholders’ equity and an accumulated deficit of $243.2 million at quarter-end.

R&D expense rose mainly due to atacicept manufacturing process transfer, qualification and clinical supply production, increased ORIGIN trial activity, and higher R&D headcount. G&A growth primarily reflected increased payroll and stock-based compensation. Interest income increased with higher yields, partly offset by higher interest expense.

Business updates, outlook and risks

  • Atacicept: The Phase 2b ORIGIN trial in IgA nephropathy (IgAN) completed enrollment in 2022. Vera reported positive 24-week topline results in January 2023: the primary endpoint was met, with statistical significance in the 150 mg dose group. Interim data showed a trend toward deeper proteinuria reductions at 36 weeks; full results were expected in Q2 2023. Vera planned to advance 150 mg into a pivotal Phase 3 trial in Q2 2023.
  • Other programs: Vera reported that final Phase 2 results for MAU868 in BK viremia among kidney transplant recipients showed tolerability and clinically meaningful antiviral activity through 36 weeks. Further trial plans were subject to FDA discussions. Vera said it was prioritizing atacicept in IgAN, delaying enrollment in a planned LN pivotal trial and reducing commitment of resources to MAU868.
  • Funding outlook: Management expects continued operating losses and negative operating cash flows for at least several years and says additional capital will be needed to achieve longer-term objectives. The filing gives differing runway statements: the financial-statement note and risk discussion say existing cash and securities should cover at least 12 months, while MD&A says cash, securities and available Oxford credit should fund operations until early 2026. These are management estimates based on assumptions, not guarantees.
  • Debt: Vera had $25.0 million principal outstanding under its Oxford facility, with a variable rate based on SOFR plus 8.25 percentage points, subject to an 8.25% floor. In March 2023, it extended maturity to December 2027 and the interest-only period to December 2026; a 7% final payment applies at maturity or prepayment. The facility is secured by company assets, excludes intellectual property from the collateral but subjects it to a negative pledge, and has no financial covenants.
  • Key risks: Clinical efficacy and safety remain uncertain; topline and interim trial results can change after verification. Development depends on patient enrollment, third-party manufacturers and CROs, and single-source supply chains. Vera has no commercial product, expects substantial additional funding needs, and notes that inadequate financing could delay or reduce programs. Competition, regulatory approval, licensing obligations, intellectual-property protection, macroeconomic conditions and cash balances above insured limits are also risks. The filing identifies conditions raising substantial doubt about the company’s ability to continue as a going concern over the long term.
  • Other disclosures: No material legal proceedings were reported. Management concluded disclosure controls were effective at March 31, 2023 and reported no material changes in internal control over financial reporting during the quarter.

Most important facts for investors to verify

  • Full 36-week ORIGIN results and whether the planned IgAN Phase 3 trial commenced on schedule, including its design, endpoints, enrollment and costs.
  • The basis and assumptions behind the differing cash runway statements, and whether the early-2026 estimate includes undrawn credit or other financing.
  • Progress in FDA discussions and any updated timing or resource plans for MAU868 and lupus nephritis.
  • Cash burn as Phase 3 development proceeds, future financing needs and the potential dilution or restrictions from new financing.
  • Oxford facility terms, effective borrowing costs, remaining availability and the implications of its security, final fee and default provisions.
  • Manufacturing capacity, supply continuity and clinical-trial execution risks for atacicept and MAU868.
