Business context and reporting period

Vince Holding Corp. operates the Vince, Rebecca Taylor and Parker brands through wholesale, retail, e-commerce and subscription channels. This 10-Q covers the quarter and nine months ended October 30, 2021. Although the request metadata says 2020 Q3, the filing is for 2021 Q3; its comparable quarter ended October 31, 2020. Figures below are in millions of dollars unless otherwise noted.

Q3 sales rose 26.7%; nine-month sales rose 54.2%. Gross margin improved in both comparisons, but Q3 operating and net income declined year over year. Nine-month losses narrowed substantially, in part because the prior-year period included $26.874 million of goodwill, intangible and long-lived asset impairments. No such impairments were recorded in the 2021 periods.

Q3 SG&A rose 53.6% to $38.999 million, including higher rent, compensation, marketing and consulting costs; the prior-year quarter benefited from pandemic-related rent concessions and cost reductions. Higher freight costs reduced gross margin by an estimated 480 basis points in Q3 and 320 basis points over nine months. Lower promotional activity and lower inventory reserves versus the prior year partly offset freight pressure.

Liquidity, cash flow and debt

At October 30, 2021, cash was $1.605 million, current assets were $121.270 million and current liabilities were $94.930 million. Inventory was $82.040 million, up from $68.226 million at January 30, 2021. Nine-month operating cash outflow was $4.248 million; capital expenditures were $4.124 million. Cash and cash equivalents decreased from $3.777 million at January 30, 2021.

Total debt principal was $95.916 million: $38.447 million under the revolving facility, $35.000 million under the new term loan and $22.469 million under the third-lien facility. Revolver availability, net of the loan cap, was $49.110 million, with $5.345 million of letters of credit outstanding; the company reported compliance with applicable covenants. The revolving facility’s weighted-average borrowing rate was 1.8%. The term loan bears interest at 90-day LIBOR, subject to a 1% floor, plus 7%; the amended third-lien facility bears LIBOR (or successor rate) plus 9% and capitalizes interest in kind. Operating lease liabilities totaled $122.030 million.

On September 7, 2021, the company refinanced its former term loan with a $35 million secured term facility and amended and extended its revolver. The new term loan matures in 2026, subject to an earlier-maturity provision, and scheduled quarterly amortization begins in July 2022. The third-lien loan maturity was extended to March 2027.

Outlook, commentary and risks

Management stated that, based on current expectations and liquidity measures, available sources should provide sufficient cash to meet obligations for the 12 months after the financial statements were issued. The filing provides no numerical earnings or sales guidance. Management described recovering store traffic and higher wholesale shipments versus pandemic-affected 2020, while citing supply-chain disruption and freight costs. The company had 69 Vince stores at quarter-end, versus 62 a year earlier. It had paused development of new Parker products to focus resources on Vince and Rebecca Taylor and preserve liquidity.

Key risks include COVID-19 effects, supply-chain disruption, consumer demand and inventory exposure, reliance on wholesale partners, debt service and liquidity, lease obligations, and potential impairment of goodwill and intangible assets. The company reported a material weakness in internal control over financial reporting related to user access and segregation of duties. Remediation was ongoing; management said it continued additional analysis and testing. Disclosure controls were therefore concluded to be ineffective.

Unusual items include $1.501 million of debt-extinguishment loss and higher interest expense associated with refinancing, including a $0.743 million prepayment penalty and $0.758 million write-off of deferred financing costs. The nine-month tax provision included an $0.882 million correction of a prior-period state tax error; Q3 recorded a $2.118 million tax benefit, primarily reflecting a change in the estimated full-year effective tax rate. A previously reported shareholder lawsuit was dismissed and its appeals were voluntarily dismissed in July 2021. Management said other ordinary-course matters were not expected to have a material adverse effect.

Important facts for investors to verify

  • Confirm the correct reporting period: the filing is for Q3 2021, not Q3 2020.
  • Track cash, inventory, operating cash flow and actual revolver availability against working-capital needs.
  • Review debt balances, floating-rate exposure, maturity provisions, covenants and the effect of capitalized third-lien interest.
  • Assess whether gross-margin recovery can withstand freight costs and whether SG&A growth is sustainable.
  • Monitor remediation of the material weakness and any further developments in COVID-19, supply chains, leases or impairment assumptions.
  • Reconcile the company’s 12-month liquidity expectation with subsequent filings and realized operating cash flows.
