Material changes and notable items

  • Gross margin improved year over year, attributed to channel and product mix, sourcing and product-development efficiencies, and favorable inventory-reserve adjustments. Sales allowances and tariffs were offsets.
  • Quarterly SG&A included $0.7m in transaction costs for the Rebecca Taylor and Parker acquisitions; other increases included compensation, store occupancy and e-commerce/Vince Unfold investment.
  • Effective November 3, 2019, the company acquired Rebecca Taylor, Inc. and Parker Holding, LLC for $19.7m, funded with revolver borrowings. On November 4, the revolving facility commitments increased from $80m to $100m, and the acquired businesses joined as guarantors. The seller was affiliated with Sun Capital, which beneficially owned about 73% of Vince; the transaction was reviewed by an independent special committee. The company expects common-control accounting and retrospective combination of periods presented.
  • Adoption of lease accounting resulted in recognition of operating lease right-of-use assets and liabilities. The company recorded a $0.6m cumulative-effect adjustment to retained earnings at adoption.
  • A favorable China trademark judgment produced approximately $0.7m in damages and fees, subsequently collected.

Outlook, risks and contingencies

No quantified revenue or earnings guidance is provided. Management expects seasonality to continue and notes that quarterly results may not indicate full-year performance. Risks highlighted include integration and performance of the acquired brands, tariffs and foreign sourcing costs, customer and wholesale-partner retention, liquidity and debt-service needs, leases, competition, and cybersecurity and system disruptions. A temporary malware-related company-wide outage was disclosed; the company reported no resulting data breach or material business impact.

Disclosure controls were not effective as of November 2, 2019 because of a continuing material weakness in IT program-change management and user-access controls. Management described remediation efforts and planned to continue additional substantive testing; it aimed to complete remediation during fiscal 2019, subject to testing. A securities lawsuit alleges misleading disclosures concerning the ERP transition; management considers an unfavorable outcome remote but cannot estimate any potential loss.

Important facts for investors to verify

  • Whether the Rebecca Taylor and Parker acquisition delivers expected results, and its impact on subsequent consolidated financial statements, debt and liquidity.
  • Whether the material weakness in internal controls was fully remediated and controls operate effectively.
  • Actual borrowing-base availability, covenant headroom and debt-service capacity, particularly given low cash balances and substantial lease obligations.
  • Whether tariff and sourcing pressures, sales allowances, and changes in wholesale shipments affect future margins and sales.
  • Developments in the ERP-related litigation and any material change in management’s assessment of potential loss.
