KALYDECO generated $99.5 million in product revenue, up 61%; $43.9 million was from international markets. INCIVEK generated $3.9 million, down 98%. Royalty revenue fell 75% to $10.7 million, primarily because Janssen’s royalty payments to Vertex on INCIVO sales ended after 2013 under an amended agreement. Product costs were $8.6 million; the filing does not present a consolidated gross-margin measure.
At March 31, cash and cash equivalents were $424.0 million and marketable securities were $900.2 million, totaling $1.324 billion, down $140.9 million from year-end. Total assets were $2.197 billion and total liabilities were $966.2 million. Obligations included a $473.4 million construction financing lease obligation and $67.8 million in capital lease obligations. Net interest expense was $15.7 million, primarily related to headquarters leases.
Material changes and unusual items
- Revenue fell sharply as INCIVEK sales contracted and Janssen INCIVO royalties ended; KALYDECO growth partly offset these declines.
- Q1 2013 included a $412.9 million VX-222 impairment charge and a $127.6 million associated tax benefit. The absence of that impairment was the main reason operating expenses and the reported net loss were lower in Q1 2014.
- R&D spending increased 10%, mainly reflecting expanded CF development programs. SG&A declined 20%, primarily due to reduced INCIVEK-related spending and restructuring.
- Q1 2014 restructuring expense was $6.2 million, mainly related to moving operations to Fan Pier and the prior strategic restructuring. Vertex expected approximately $45 million of additional restructuring charges during the remainder of 2014.
- Vertex deconsolidated Alios at December 31, 2013. In April 2014, it amended the agreement to end further development obligations for VX-135 and said it planned to seek an outlicense.
Outlook, risks and contingencies
- Management expected quarterly losses to continue until revenues increase through potential future approvals. It stated current cash, securities and KALYDECO cash flows were expected to fund operations for at least the next 12 months; future adequacy depends on sales, development spending and program outcomes.
- Vertex expected mid-2014 data from the Phase 3 TRAFFIC and TRANSPORT trials of lumacaftor plus ivacaftor. If successful, it planned U.S. and EU filings in the second half of 2014. It also expected Q3 2014 data from the ivacaftor trial in children aged 2–5 and planned potential R117H filings in 2014.
- The R117H Phase 3 trial did not meet its primary endpoint; a prespecified subgroup analysis showed benefit in adults. The filing cautions that VX-661 combination findings were from a small, short Phase 2 trial and require further validation.
- Major risks include clinical and regulatory uncertainty, competition in HCV, dependence on KALYDECO revenue, reimbursement decisions, and substantial R&D and lease commitments. Management reported no material changes to the risk factors in its 2013 Form 10-K.
- A shareholder class action was dismissed on March 31, 2014; plaintiffs sought reconsideration and leave to amend in April. The company had recorded no reserve. No material contingent liabilities were accrued at quarter-end.
- Subsequent event: Vertex reported a $36.7 million landlord payment received in April 2014, expected to be credited to income in Q2 after obligations were satisfied.
Investor verification points
- Track KALYDECO sales growth, international reimbursement and the commercial contribution of any label expansions.
- Verify results and regulatory progress for the lumacaftor/ivacaftor, R117H, pediatric ivacaftor and VX-661 programs against management’s stated timelines.
- Monitor operating cash use, available cash and securities, and lease-related payments and interest expense.
- Assess the effects of the Janssen agreement change, discontinued VX-135 development and any potential outlicense.
- Review restructuring charges, the $36.7 million Q2 landlord credit, and developments in the shareholder litigation.
