TeraWulf Inc. — 2022 Form 10-K Summary

Business context and reporting period

Annual report for the fiscal year ended December 31, 2022, filed March 31, 2023. TeraWulf develops and operates U.S. bitcoin-mining facilities, with hosting services as a secondary revenue source. Lake Mariner in New York is wholly owned; Nautilus in Pennsylvania is a joint venture in which TeraWulf held approximately 25% at year-end. The company reported one operating segment: digital-currency mining.

Mining began at Lake Mariner in March 2022. Nautilus began mining in February 2023. The 2021 comparison covers only the period from the company’s February 8, 2021 inception through December 31, 2021, so it is not a comparable full-year period.

The company held $0.2 million of digital currency at year-end.

Material changes versus the prior period

  • Revenue rose from zero in the 2021 inception period as mining and hosting operations commenced; the comparison period is substantially shorter than 2022.
  • 2022 gross profit was $4.0 million, but operating costs, depreciation, interest and Nautilus losses drove a substantial net loss. Interest expense increased to $24.7 million from $2.3 million in the inception period.
  • Cash and equivalents fell to $1.3 million from $43.4 million at year-end 2021. Restricted cash was $7.0 million at year-end 2022, primarily escrowed sale proceeds; those escrowed funds were released in February 2023.
  • The company restated the cash-flow statements for the first three quarters of 2022. Noncash activity related to equipment purchases and deposits had been misclassified, understating investing cash outflows and overstating operating cash outflows. The quarterly balance sheets, statements of operations and equity were not affected. Previously issued quarterly financial statements and related communications should no longer be relied upon.
  • TeraWulf reduced its Nautilus ownership from the original 50% to approximately 25%; Talen’s affiliate holds the majority and appoints four of five managers.

Outlook, commentary, risks and unusual items

  • Management targeted aggregate capacity of 160 MW, approximately 50,000 miners and more than 5.5 EH/s in the second quarter of 2023. As of March 30, 2023, the two facilities had approximately 28,000 miners deployed and 2.8 EH/s of self-mining hash rate. These are forward-looking targets, not achieved 2022 results.
  • Management cited expected average electricity costs of approximately $0.035/kWh. Nautilus power is contracted at $0.02/kWh for five years; Lake Mariner’s anticipated average market power cost was approximately $0.045/kWh. The company reported that its facilities used more than 91% zero-carbon energy and targeted 100% by 2028.
  • After year-end, an equity offering and related transactions generated approximately $34.3 million in net proceeds, according to the filing. A March 2023 debt amendment eliminated scheduled principal amortization through April 2024, subject to conditions, and provides for an excess-cash-flow sweep. Extension of relief through the December 2024 maturity is conditional, including on repayment of at least $40 million by April 1, 2024. The amendment also granted lenders governance rights and warrants representing 15% of fully diluted equity at the effective date, subject to their terms.
  • Management concluded that subsequent financing, operating progress and expected completion of construction removed substantial doubt about the company’s ability to continue as a going concern for at least 12 months. This depends on execution of the operating plan and access to cash; the company had a large working-capital deficit and had not yet achieved positive net earnings.
  • A material weakness in financial-reporting controls led to the interim cash-flow restatements. Management concluded internal controls and disclosure controls were ineffective at December 31, 2022; remediation had begun but was not yet complete.
  • Significant risks include bitcoin-price and mining-economics volatility, rising network competition, power prices and supply, construction and equipment execution, financing needs and dilution, high debt costs, regulation, cybersecurity and reliance on NYDIG for custody and Foundry for mining-pool services. Bitcoin holdings are not protected by FDIC or SIPC insurance.
  • Related-party arrangements include services provided by Beowulf E&D, controlled by the CEO, and a Lake Mariner lease with a company controlled by the CEO. The services agreement fee was reduced to an annual base fee of $8.46 million effective January 2023 while loan obligations remain outstanding.
  • Nasdaq notified the company in March 2023 that its share price was below the $1 minimum bid-price requirement; the initial compliance period ran through September 13, 2023. The filing also reports approximately $0.9 million in accounts at the former Signature Bank, which the company intended to transfer before the accounts closed.

Most important facts for investors to verify

  • Review Note 18’s restated quarterly cash flows and confirm that subsequent filings consistently present the corrected classification.
  • Track actual miner deployment, completed capacity and hash rate against the second-quarter 2023 targets, along with power costs and mining margins.
  • Monitor cash, working capital, cash burn and compliance with the amended loan terms, including the cash-flow sweep and repayment conditions.
  • Assess dilution from equity raises, convertible securities and lender warrants, including the potential impact of authorized-share increases.
  • Follow remediation and testing of the material weakness and confirm whether management later concludes controls are effective.
  • Verify continued Nasdaq listing compliance and review exposure to related parties, the Nautilus joint venture, and custody and pool counterparties.
