Material changes and unusual items
- Shanghai lockdowns required shutdown of Agilent’s primary gas chromatography production facility and logistics center. Management estimated a roughly 350-basis-point negative impact on Q2 revenue and expected delayed revenue to be recognized through the second half of FY2022 and Q1 FY2023.
- Operating margin improved year over year despite flat gross margin, reflecting higher volume and lower operating expenses. Higher wages, materials, shipping, logistics and amortization costs offset some benefits.
- Six-month other expense included a $62 million net loss on equity securities, versus a $15 million gain in the prior-year period. Q2 other expense also included a $15 million unrealized equity-securities loss.
- On May 4, 2022, after quarter-end, Agilent borrowed $600 million under a new term loan and redeemed its $600 million 2023 notes for approximately $609 million. It recorded a $9 million debt-extinguishment loss in May and paid $7 million of accrued interest.
- Effective May 23, 2022, Agilent ceased operations in Russia. The filing describes the related shutdown expense and Russia-derived revenue as immaterial.
Outlook, risks and contingencies
- Management expressed optimism about long-term growth across end markets, while noting near-term volatility, inflation and logistical pressures, longer lead times and limited supply sources. It cited targeted pricing and sourcing strategies as mitigations.
- The filing does not provide a specific numerical revenue or earnings forecast. Management expected delayed Shanghai-related revenue to be recovered over the second half of FY2022 and into Q1 FY2023.
- Management stated that available cash, operating cash generation and access to capital markets and credit lines should meet liquidity needs for at least the next 12 months and beyond.
- Principal risks include COVID-related disruption, supply constraints, inflation, customer demand and capital-spending variability, foreign exchange, geopolitical and trade developments, competition and product innovation, regulatory compliance, and acquisition integration.
- Agilent reported ordinary-course lawsuits and proceedings and said none were then believed reasonably possible of having a material impact. Supplier and contract-manufacturer commitments increased by $62 million and $207 million, respectively, from amounts reported at FY2021 year-end.
