  • Cash flow: First-half cash provided by operations was $25.4 million, compared with $16.5 million in 2021. Investing used $125.4 million, including $124.8 million of capital expenditures; financing used $50.3 million. Cash, cash equivalents and restricted cash declined $150.3 million to $94.3 million.
  • Debt and liquidity: Total indebtedness was $1.148 billion at June 30, down from $1.181 billion at year-end 2021. Cash was $81.8 million, restricted cash $12.5 million, and available revolver capacity $121.2 million; reported total liquidity was $215.5 million. The revolver had no borrowings outstanding. Management reported a 4.4% weighted-average rate and 8.4-year remaining term on property-level debt; approximately 96% of that debt was fixed-rate.
  • Balance sheet: Total assets were $2.419 billion, total liabilities $1.543 billion, and total equity $825.0 million at June 30, 2022. Development and redevelopment commitments were approximately $188.4 million.

Material changes and unusual items

  • Q2 earnings were substantially affected by a $205.4 million lease-modification gain after Aimco and AIR agreed to terminate leases covering four properties, and a $94.6 million gain on the April sale of Pathfinder Village for $127.0 million. The lease termination agreement provides for $200.0 million in payments, with $190.0 million due September 1, 2022; Aimco recorded a $186.3 million receivable at quarter-end. Management said the transaction would create more than $100 million of value net of costs and eliminate $469 million of related obligations.
  • Other material Q2 investment gains included a $20.5 million unrealized gain on the remaining IQHQ investment and a $5.7 million realized gain on a partial redemption. Interest-rate option gains were also significant. These items make reported net income less indicative of recurring property operations.
  • Interest expense increased to $41.5 million in Q2 from $12.6 million a year earlier, primarily due to spread-maintenance costs associated with debt repayment and refinancing. First-half interest expense included a $27.5 million loss on extinguishment of debt.
  • In May, Aimco issued $574.7 million of long-term, fixed-rate, non-recourse property loans, with a 9.4-year weighted-average term and 4.63% weighted-average rate. In July, it repaid the remaining approximately $147.0 million of Notes Payable to AIR and associated spread-maintenance costs.
  • First-half investment activity included $100.8 million of real estate purchases, development spending, and funding the remaining $14.2 million of a $50.0 million IQHQ commitment. Aimco also acquired part of a Fort Lauderdale development site and formed joint ventures for projects in Bethesda and Miami.

Outlook, management commentary and risks

  • Management described eight active development and redevelopment projects, with approximately $1.0 billion of projects underway and more than $2.5 billion of future opportunities under Aimco’s control. It targets 12%–16% annualized returns on equity once its planned capital allocation is achieved; this is a strategic target, not formal earnings guidance.
  • Management said active projects were on track against budget, leasing and current market valuations, and believed available liquidity was sufficient for operating needs over the next 12 months. It expects to fund longer-term needs through property financing, operating cash flow and equity recycling. Near-term plans did not contemplate an equity issuance.
  • Aimco does not presently intend to pay a regular quarterly cash dividend, preferring to reinvest earnings. The Board declared a special $0.02-per-share cash dividend in July, payable September 30, 2022.
  • Key risks include rising interest rates, refinancing and financing availability, construction costs and delays, supply-chain disruption, economic and rental-market weakness, natural disasters, and compliance with debt covenants. Management reported covenant compliance and expected to remain compliant over the next 12 months. A 100-basis-point change in floating rates was estimated to change annual interest expense by approximately $2.4 million.
  • The $354.4 million Parkmerced mezzanine investment accrues interest at 10%; repayment depends on the borrower and property performance, and the filing warns that some or all of the investment may not be recovered. Legal title to the loan-holding subsidiaries had not transferred from AIR, which remains obligated to pass loan payments to Aimco.
  • Other notable commitments include approximately $188.4 million for development and redevelopment, $28.8 million for remaining Fort Lauderdale land purchases, and $12.0 million for joint-venture funding. The filing reported no material change in previously disclosed risk factors and no pending legal proceeding expected to materially affect financial condition or results.

Most important facts for investors to verify

  1. How much of reported earnings and future cash realization depends on the lease termination and property-sale gains, and whether the promised termination payments were received as scheduled.
  2. Recurring operating-property trends, including rent growth, occupancy, expenses and NOI, apart from acquisitions, redevelopment lease-ups and properties exiting the portfolio.
  3. Funding and execution of development commitments, project budgets and timelines, and the availability and cost of construction and property financing.
  4. Debt repayment and refinancing progress, interest-rate exposure, covenant headroom and the amount of liquidity genuinely available after restricted cash and committed spending.
  5. Collectability and eventual transfer of the Parkmerced mezzanine investment, along with valuation assumptions for IQHQ and other investments.
