Q3 sales increased 152%, primarily from $1.173 billion of favorable pricing and $135.6 million of higher volume, partly offset by $46.8 million of unfavorable currency translation. Nine-month sales increased 93%, reflecting $2.071 billion of pricing benefits and $349.5 million of higher volume.

  • Lithium: Q3 sales rose 318% to $1.501 billion and adjusted EBITDA rose 786% to $1.111 billion. Nine-month sales rose 207% to $2.943 billion and adjusted EBITDA rose 461% to $1.915 billion.
  • Bromine: Q3 sales increased 28% to $354.9 million and adjusted EBITDA increased 24% to $107.0 million. Nine-month sales increased 30% and adjusted EBITDA increased 36%.
  • Catalysts: Q3 sales increased 22% to $235.8 million, but adjusted EBITDA declined 86% to $4.6 million. Nine-month adjusted EBITDA declined 61% to $31.3 million.

Cash and cash equivalents were $1.383 billion at September 30, 2022, compared with $439.3 million at December 31, 2021. Net current assets increased to approximately $1.8 billion, primarily due to higher cash, receivables and inventories.

Total long-term debt, including the current portion, was approximately $3.370 billion at September 30, 2022, compared with $2.394 billion at year-end 2021. The company issued $1.7 billion of senior notes in May 2022, repaid commercial paper and $425 million of 2024 notes, and had no commercial paper outstanding at quarter-end. It reported $1.5 billion of availability under its commercial paper program and revolving credit agreement, plus $238.6 million under other lines of credit.

Material Changes Versus the Prior Comparable Period

  • Profitability increased sharply, driven principally by lithium pricing, higher volumes and stronger earnings from the Talison joint venture.
  • Gross margin expanded to 49.9% from 30.0% in Q3 and to 44.1% from 31.3% for the first nine months.
  • The 2021 comparison was depressed by a $657.4 million pretax legal accrual related to the Huntsman arbitration settlement, including a $504.5 million after-tax impact attributable to Albemarle. The company paid the final $332.5 million settlement installment in May 2022.
  • The 2021 nine-month period included a $428.4 million pretax gain from the sale of the Fine Chemistry Services business, which was completed in June 2021.
  • Working capital was a significant cash use in 2022, primarily because of higher lithium pricing, receivables and inventories. Inventories increased to $1.614 billion from $798.6 million at year-end 2021.
  • Capital expenditures were $815.9 million through nine months versus $652.7 million in the prior-year period.
  • Foreign currency translation reduced other comprehensive income by $324.2 million through nine months, principally from unfavorable movements in the euro and Chinese renminbi.

Guidance, Outlook, Risks and Unusual Items

  • Management expects Lithium results to be higher year over year for the remainder of 2022, supported by strong market pricing, contract renegotiations, index-linked pricing and new capacity. Management noted lithium market indices had increased 70% to 140% since the beginning of the year.
  • Management expects Bromine 2022 sales and profitability to grow 25% to 30%, assuming continued raw-material availability.
  • Management expects Catalysts results to decline 45% to 65% in 2022 because of inflation in freight and input costs, including European natural gas prices affected by the war in Ukraine. Potential contingent business interruption insurance recoveries could total up to $53 million, but timing and realization are uncertain.
  • 2022 capital expenditures are expected to be $1.3 billion to $1.4 billion, primarily for lithium growth and capacity projects in Australia, China, Chile and Nevada.
  • The company completed its approximately $200 million cash acquisition of Tianyuan on October 25, 2022. Tianyuan operates a lithium conversion plant with designed capacity of up to 25,000 metric tons of LCE annually; the acquisition will be recorded in the fourth quarter.
  • Key growth projects include Kemerton, Australia; La Negra, Chile; Meishan and Zhangjiagang, China; and Kings Mountain, North Carolina. The company also reported a nearly $150 million U.S. Department of Energy grant to support a domestic lithium concentrator project.
  • Material risks include lithium price declines, production or commissioning delays, raw-material and energy inflation, foreign exchange volatility, geopolitical and COVID-19 effects, supply-chain constraints, customer demand changes, environmental and chemical-manufacturing risks, and higher interest rates.
  • Albemarle continues to cooperate with the DOJ, SEC and Dutch Public Prosecutor regarding potential improper payments by third-party sales representatives in its Catalysts business. The duration, outcome and potential costs are not estimable; management does not expect a material effect on liquidity, but an adverse resolution could materially affect a particular period’s results.
  • Recorded environmental liabilities were $44.2 million at September 30, 2022. Management estimated a reasonable possibility of approximately $9 million of additional remediation costs before tax beyond recorded amounts.
  • Nine-month interest expense included a $19.2 million loss on early debt extinguishment and a $17.5 million correction of out-of-period capitalized-interest errors. Management stated that the prior-period adjustments were not material.
  • Management believes available cash, operating cash flow and financing capacity are sufficient for operating needs, debt service, capital expenditures, acquisitions, pensions and dividends for the foreseeable future.

Investor Verification Checklist

  • Verify the sustainability of lithium pricing, index-linked contract exposure and the extent to which elevated margins depend on market prices.
  • Track execution, costs and production ramp-up at Kemerton, La Negra, Wodgina, Tianyuan, Kings Mountain and the planned Chinese conversion plants.
  • Reconcile the $1.3 billion to $1.4 billion capital-spending outlook with operating cash flow, debt levels and future financing needs.
  • Assess Catalysts’ exposure to European natural gas, freight and raw-material costs, including the potential insurance recoveries.
  • Monitor leverage and covenant compliance following the 2022 debt issuance, the Tianyuan acquisition and future growth investments.
  • Follow the DOJ, SEC and Dutch Public Prosecutor investigations and any related fines, penalties, disgorgement or remediation requirements.
  • Evaluate working-capital conversion, particularly the sharp increases in receivables, inventories and payables tied to lithium pricing and joint-venture purchases.
