In February 2021, the company completed a 4-for-1 share subdivision and changed the ADS ratio to one ADS representing four ordinary shares; share and per-share data are presented retrospectively.

Other income, primarily VAT refunds and government grants, was RMB443.2 million, including RMB218.4 million of VAT refunds and RMB210.0 million of government grants.

Liquidity, cash flow and balance sheet

  • Cash, cash equivalents, restricted cash and short-term investments totaled RMB14,647.3 million (US$2,244.8 million) at December 31, 2020, including RMB12,878.2 million of short-term investments.
  • Cash and cash equivalents plus restricted cash were RMB1,769.1 million at year-end, compared with RMB1,993.5 million in 2019.
  • Net cash used in investing activities was RMB2,985.5 million, primarily reflecting the TTP acquisition, purchases of term deposits and financial products, and higher capital expenditures.
  • Net cash used in financing activities was RMB547.0 million, primarily reflecting dividend payments of RMB651.1 million, partly offset by proceeds from share-option exercises.
  • Total liabilities were RMB4,922.1 million and total equity was RMB17,752.6 million at year-end. The filing does not identify material debt securities or conventional borrowings; reported obligations include operating lease liabilities of RMB202.7 million and other operating liabilities.
  • The company stated that existing cash and expected operating cash flow should satisfy anticipated cash needs for at least the next 12 months.

Material changes and unusual items

  • COVID-19 disrupted automobile production, purchases and customer marketing demand, particularly in the first quarter. Despite this, full-year revenue increased modestly.
  • Autohome obtained control of used-car auction platform TTP on December 31, 2020 through a transaction giving it 51% voting rights and board control. The acquisition generated RMB2,567.1 million of goodwill and increased total goodwill to RMB4,071.4 million. The transaction had an immaterial effect on 2020 operating results because it closed on the last day of the year.
  • Accounts-receivable turnover days increased to 134.0 days from 130.6 days in 2019. Additions to the allowance for doubtful accounts rose to RMB95.7 million, partly due to deteriorating financial positions of certain automaker customers.
  • Income tax expense fell 47.8% to RMB260.9 million, primarily because certain subsidiaries qualified for preferential tax rates. The filing states that RMB331.95 million of previously uncertain preferential-tax positions were realized in the fourth quarter of 2020.
  • Gross margin remained high, but operating margin declined because sales and marketing, general and administrative and product-development expenses grew faster than revenue.
  • The company declared a fiscal 2020 dividend of US$0.87 per ADS, or US$0.2175 per ordinary share after the share subdivision, expected to be paid March 5, 2021.

Outlook, management commentary and risks

No formal quantitative revenue or earnings guidance is provided in the filing. Management expects to continue developing a data- and technology-driven automotive ecosystem, expand AI, big-data, cloud and software-as-a-service products, deepen dealer and automaker relationships, and integrate TTP into used-car services. Management believes liquidity is sufficient to navigate an extended period of uncertainty.

  • Principal operating risks include continued weakness or volatility in China’s automotive industry, reduced automaker and dealer marketing budgets, customer concentration, competition, seasonality and difficulty monetizing new businesses.
  • Credit risk is material because customers generally pay after service delivery; higher receivable turnover and increased bad-debt provisions warrant monitoring.
  • The company relies on contractual VIE arrangements for restricted internet-content operations. Regulatory changes, licensing issues, loss of contractual control or difficulties enforcing contracts in China could impair operations or prevent consolidation of the VIEs.
  • PRC data privacy, cybersecurity, advertising, online-content, e-commerce, insurance and auto-finance regulations are evolving and may increase compliance costs or lead to penalties.
  • Goodwill and acquired intangible assets increased significantly following the TTP acquisition. No impairment was recorded, but future impairment could materially affect earnings and equity.
  • Ping An Group, through Yun Chen, owned 49.0% of the company’s shares and voting rights and has substantial influence. Related-party revenue from Ping An Group was RMB621.8 million in 2020, while purchases and services from Ping An Group were RMB156.4 million.
  • Substantially all revenue and operations are in China, creating exposure to RMB exchange rates, PRC capital controls, tax rules, political and regulatory developments, and limitations on U.S. regulatory access to audit work papers and PCAOB inspections.

Most important facts for investors to verify

  • Whether the growth of online marketplace, data products and used-car services can offset declines in media and dealer lead-generation revenue.
  • The sustainability and collectability of the RMB3.124 billion accounts-receivable balance, the RMB128.2 million allowance and 134-day receivable turnover.
  • The valuation assumptions, integration progress and future profitability of TTP, including the RMB4.071 billion goodwill balance and RMB440.4 million of intangible assets.
  • The status and renewal of key ICP, internet audio/video and other operating licenses, and the enforceability and regulatory treatment of the VIE structure.
  • The extent to which cash and short-term investments are held with or through Ping An Group and the related-party nature of those balances and transactions.
  • The effect of preferential tax treatments, dividend withholding taxes and PRC restrictions on the ability to move cash from subsidiaries and VIEs to the Cayman Islands parent.
  • Future PCAOB inspection and U.S. listing risks, as well as the continuing impact of COVID-19 and broader China-U.S. regulatory developments.
