Material Changes Versus the Prior Comparable Period

  • Full-year sales decreased 0.6%; acquisition growth of 4.3% was offset by a 3.4% organic decline and 1.5% unfavorable foreign exchange.
  • Operating income declined 12.2% and continuing-operations net income declined 13.4%. Higher selling and administrative expense, including acquisition earnout adjustments, was a key factor.
  • Segment performance was mixed: Specialty Engineered Materials sales rose 15.5% and operating income rose 20.1%, largely reflecting acquisitions and improved mix. Color, Additives and Inks sales fell 4.1% and operating income fell 7.0%; Distribution sales fell 5.8%, although its operating income increased 5.5%.
  • Operating cash flow increased $47.1 million, primarily due to working-capital improvements. Cash rose substantially following the PP&S divestiture.
  • PolyOne sold its Performance Products and Solutions business on October 25, 2019, for $775 million cash, subject to working-capital adjustment, and recorded a $457.7 million after-tax gain. The business is reported as discontinued operations.
  • The company acquired Fiber-Line in January 2019 for total consideration of $152.7 million. It also agreed to acquire Clariant’s masterbatch businesses for $1.45 billion in cash, with closing expected in mid-2020 subject to approvals and other conditions.

Outlook, Commentary, Risks and Unusual Items

  • Management described a near-term focus on sales growth and margin expansion, while seeking to offset economic headwinds in certain end markets and regions, raw-material volatility and logistics-cost inflation. No specific earnings or revenue guidance was provided.
  • 2020 capital expenditures were estimated at approximately $65 million; cash environmental expenditures were expected to be approximately $11 million.
  • To fund the planned Clariant acquisition, the company intended to use part of the PP&S sale proceeds, approximately $496.8 million of net proceeds from a February 2020 share offering, and proceeds from an anticipated senior unsecured notes offering. It had also arranged a $1.15 billion bridge commitment and expected to issue notes instead of borrowing under the bridge.
  • Environmental liabilities totaled $112.0 million, including $100.8 million associated with the former Calvert City site. Additional costs are reasonably possible but could not be estimated. The company had not accrued for the lower Passaic River matter because its liability could not be estimated.
  • Other key risks include cyclical end-market demand, raw-material and energy price or supply changes, foreign-exchange exposure, operational hazards, environmental and regulatory obligations, cybersecurity, and acquisition approval, financing, integration and synergy risks. The planned acquisition would materially increase debt; the company cited approximately $650 million of expected additional debt in one risk discussion.
  • Unusual earnings items included the PP&S disposal gain, $36.4 million of acquisition earnout charges for the year, and a $9.6 million pension and post-retirement actuarial benefit.

Important Facts for Investors to Verify

  • Whether the Clariant acquisitions closed on expected terms and timing, and the final purchase price, funding mix, debt burden and realized synergies.
  • How much ongoing earnings and cash generation are attributable to continuing businesses, excluding the PP&S disposal gain and other unusual items.
  • Whether organic demand, segment margins and currency trends improve, particularly in automotive, consumer, industrial, transportation and electronics end markets.
  • Whether the $112.0 million environmental reserve, especially the Calvert City estimate, proves adequate as remediation plans and cost allocations develop.
  • Whether the reported liquidity, revolving-credit access and covenant headroom remain adequate after acquisition financing and planned cash uses.
