Revenue fell 6.0%, with a 13.2% volume decline partly offset by favorable product mix and pricing, acquisitions and other factors. Lower working-capital usage contributed to higher operating cash flow. The debt-to-capitalization ratio declined to 54% from 55%; the company reported compliance with its debt covenants and no year-end borrowings under its revolving credit facility.

Segment results

  • Propulsion: sales of $2,763.8 million, down 2.1%; operating earnings of $494.7 million, down 5.4%.
  • Engine P&A: sales of $1,199.8 million, down 8.4%; operating earnings of $217.4 million, down 18.9%.
  • Navico Group: sales of $914.7 million, down 14.5%; operating earnings of $5.2 million versus $68.2 million. Softer marine OEM orders and weak RV manufacturing weighed on results; 2023 included impairment and restructuring charges.
  • Boat: sales of $1,989.4 million, down 6.1%; operating earnings of $155.6 million, down 26.9%.

Segment sales figures are before intersegment eliminations; the filing reports $466.3 million of eliminations in 2023.

Material changes, outlook and unusual items

  • Gross margin declined 70 basis points, reflecting material and labor inflation, depreciation, lower absorption, the IT incident and currency effects, partly offset by sales-related factors and acquisitions. SG&A rose to 12.7% of sales from 11.3%.
  • Restructuring, exit and impairment charges were $54.7 million, versus $25.1 million in 2022. Management estimates actions taken in 2023 will generate about $45 million of annualized savings.
  • The June 2023 cybersecurity incident disrupted operations for nine days. Brunswick estimates lost revenue of $80–$85 million and lost operating earnings of $35–$40 million, and recorded $10.1 million of related non-recurring costs. The company intends to seek insurance recovery.
  • Income tax expense was $196.3 million and the effective tax rate was 31.2%, compared with 20.2% in 2022. The 2023 rate included $53.1 million of tax expense associated with intercompany intellectual-property transfers and an increase in deferred-tax valuation allowances.
  • Brunswick recorded a $19.2 million impairment of its TN-BC Holdings investment and $16.6 million of intangible-asset impairment charges, including a $13.0 million Navico trade-name impairment. Navico Group goodwill was $599.7 million; its estimated fair value exceeded carrying value by about 10%, making that valuation sensitive to assumptions.
  • For 2024, management anticipates capital expenditures of approximately $225 million and share repurchases exceeding $200 million. The company expects to continue dividends, subject to Board discretion and available capital. These are plans, not guaranteed outcomes; the filing provides no full-year revenue or earnings guidance.

Risks, contingencies and liquidity

Key risks include cyclical consumer demand, higher financing costs, dealer and OEM inventory adjustments, pricing competition, inflation and supply disruptions, seasonality and weather, foreign exchange and trade-policy exposure, and dependence on dealers, suppliers and key customers. Brunswick also faces cybersecurity, product warranty and liability, environmental compliance, acquisition integration and impairment risks. International sales were approximately 30% of 2023 net sales.

Year-end contractual principal payments included $455.4 million due in less than one year, principally reflecting the $450 million of 0.85% notes due in 2024. The company had $741.9 million available under its revolving credit facility. Maximum potential customer-financing guarantee obligations were $66.6 million and product repurchase obligations were $81.1 million; management says historical losses have not been significant and collateral or resale proceeds partly mitigate exposure. Environmental remediation exposure was estimated at $14.4–$37.8 million, with $14.7 million accrued. Management does not expect pending litigation or environmental claims, after recorded accruals, to have a material adverse effect.

Most important facts for investors to verify

  • Whether wholesale order patterns, retail demand and dealer inventories stabilize, and how volume, price and mix affect margins.
  • Whether the announced restructuring savings are realized and whether further restructuring or impairments are needed, especially in Navico Group.
  • The continuing financial and operational effects of the cybersecurity incident, including any insurance recoveries or additional costs.
  • Debt refinancing and repayment of the 2024 notes, covenant headroom, and the balance between buybacks, dividends, investment and liquidity.
  • Whether the 2024 capital-spending and repurchase plans remain achievable under changing market conditions.
  • Potential changes in warranty, repurchase, environmental and other contingent liabilities; the filing’s estimates are subject to uncertainty.
