Organic measures are non-GAAP and exclude specified effects of acquisitions and divestitures, impairment charges, other items, and foreign exchange. Reported net sales reflected an 8% organic volume decline partly offset by 6% favorable price/mix. Gross-margin improvement principally reflected price/mix and lower supply-chain disruption costs, partly offset by input-cost inflation and foreign exchange.

Liquidity, debt, and capital allocation

  • Cash and cash equivalents were $446 million at year-end, versus $374 million a year earlier. Current assets were $4.036 billion and current liabilities $1.559 billion.
  • Debt included $429 million of commercial paper and $2.672 billion of long-term notes, of which $300 million was classified as current. The company had no borrowings under its committed $900 million revolving credit facility, which expires in May 2028.
  • Operating cash flow was $647 million; capital expenditures were $228 million. Investing activities provided $49 million, including $246 million of divestiture proceeds. Financing activities used $618 million, including $404 million of dividends and $400 million of share repurchases.
  • The company raised its quarterly dividend by 6%, to $0.2178 per share, effective January 2024, and completed a $400 million repurchase program in December 2023. It reports investment-grade ratings of A1 from Moody’s and A- from S&P.

Material changes and unusual items

  • Reported operating income included $267 million of gains from the Finlandia vodka sale ($92 million) and Sonoma-Cutrer wine sale ($175 million). These transactions were a major reason reported operating income rose 25% while organic operating income declined 2%.
  • Brown-Forman sold Finlandia for $196 million cash in November 2023. It sold Sonoma-Cutrer on April 30, 2024, for $50 million cash and a 21.4% interest in The Duckhorn Portfolio, valued at $267 million at closing. Transition services agreements followed both sales.
  • Prior-year results included a $96 million noncash Finlandia brand impairment and $55 million of acquisition-related transaction expenses. FY2024 included a $7 million impairment of an immaterial discontinued brand and a $23 million commitment to the Brown-Forman Foundation and Dendrifund.
  • Net sales fell 6% for Jack Daniel’s Tennessee Whiskey; declines in the U.S. and Japan were partly offset by growth in Mexico and Germany. Distributor inventory reductions negatively affected reported sales. Rest of Portfolio sales rose 61%, largely reflecting acquired Diplomático and Gin Mare.
  • Interest expense, net, increased 40% to $113 million, reflecting higher average debt balances and borrowing rates. The effective tax rate decreased to 21.2% from 23.0%.

Outlook, risks, and contingencies

Management expects FY2025 organic net sales growth of 2%–4% and organic operating income growth of 2%–4%, supported by international-market gains and normalizing distributor inventory trends. It expects an effective tax rate of approximately 21%–23% and capital expenditures of $195–$205 million. Management cautions that macroeconomic and geopolitical uncertainty will continue to challenge operations.

Key risks include dependence on the Jack Daniel’s brands; changing consumer preferences and competition; distributor inventory and route-to-consumer transitions; forecasting and supply risks for aged spirits and agave; input costs, foreign exchange, tariffs, and regulation; and cybersecurity threats. Management says pending litigation is not expected to materially affect financial position, results, or liquidity, and no material loss contingencies were accrued at year-end. The company reported effective internal control over financial reporting; the auditor issued unqualified opinions on the financial statements and internal controls. The audit identified valuation of the Gin Mare and Diplomático brand intangibles as a critical audit matter.

Important facts for investors to verify

  • How much of FY2024’s reported profit increase came from the $267 million divestiture gains, and how organic results compare with GAAP results.
  • Whether distributor inventory levels normalize as management expects, particularly in the United States and Japan, and whether Jack Daniel’s volumes recover.
  • Progress against FY2025 sales and operating-income guidance, including price/mix, volume, foreign exchange, and input-cost trends.
  • Debt maturities and refinancing needs, including the $300 million due in FY2025, alongside planned investment, dividends, and repurchases.
  • Assumptions supporting the carrying values of Gin Mare and Diplomático: management estimates that a 15% decline in projected sales or a 1-point increase in discount rates could trigger material impairments.
