Boqii Holding Ltd annual report, Q4 FY2021

Business context and reporting period

Boqii Holding Limited operates a China-focused online pet-products platform and community, with sales through its own store, third-party marketplaces and an offline network. This is an annual Form 20-F for the fiscal year ended March 31, 2021—not a standalone 2020 fourth-quarter filing. Financial statements are prepared under U.S. GAAP; amounts below are RMB unless stated otherwise.

Product sales generated 99.2% of FY2021 revenue. Revenue growth reflected continued business growth and recovery in China after COVID-related disruption. Cost of revenue rose faster than revenue, and gross margin declined. Management attributed margin pressure in part to greater sales through Boqii Mall and to a larger contribution from lower-margin sales to pet businesses.

Material changes and unusual items

  • Sales and marketing expense rose 24.8% to RMB160.2 million, although it declined as a share of revenue to 15.8%. Fulfillment expense increased 3.7% to RMB120.2 million, but fell to 11.9% of revenue, which management linked to warehouse efficiencies, relocation and delivery-price renegotiations.
  • General and administrative expense more than doubled to RMB114.0 million, primarily due to share-based compensation and IPO-related costs. The filing gives differing share-based compensation figures in its discussion and cash-flow disclosures; see investor verification items below.
  • Financing cash flow included IPO proceeds and preferred-share financing, partly offset by debt repayments. The IPO closed in October 2020. All preferred shares converted upon the IPO, and FY2021 ordinary-shareholder loss also reflects preferred-share accretion and deemed dividends.
  • Other gains included a RMB6.6 million reimbursement from the depositary and a gain on disposal of debt. Interest income rose to RMB17.6 million, while interest expense fell to RMB27.7 million, largely due to lower promissory-note amortization after debt extinguishments.

Outlook, risks and contingencies

Management provided no numerical revenue or earnings guidance. It expected available cash, cash equivalents, short-term investments and borrowings to cover anticipated needs for at least 12 months, while noting that additional financing could be required if business conditions change. It did not expect significant capital expenditure in the foreseeable future and did not plan to pay dividends in the near term.

  • Boqii reported a history of losses and negative operating cash flow. Revenue growth has not yet translated into improved operating results.
  • Key risks include dependence on third-party e-commerce and social platforms, competitive pricing, brand-partner and logistics relationships, product quality and safety, and execution of newer initiatives and acquisitions.
  • The company operates certain China businesses through VIE contractual arrangements rather than direct ownership. Their enforceability and related regulatory treatment remain uncertain.
  • PRC data, cybersecurity and overseas-listing rules were evolving; the filing also warned of possible PCAOB inspection limits and potential U.S. trading or delisting consequences.
  • Management concluded disclosure controls were ineffective at March 31, 2021 because of outstanding material weaknesses in financial-reporting staffing and documented closing procedures, including logistics-expense and vendor-rebate accruals. Remediation was underway; the filing did not include management’s internal-control assessment or auditor attestation.
  • The filing states there were no material legal or administrative proceedings pending or known to be threatened and no material capital commitments at March 31, 2021.

Important facts for investors to verify

  • Reconcile the filing’s cash-flow and cash-balance disclosures: the audited statements report FY2021 operating cash use of RMB247.5 million, investing cash use of RMB184.4 million, and ending cash and equivalents of RMB292.2 million, while selected-data text elsewhere gives materially different figures.
  • Check the share-based compensation disclosures: the MD&A cites RMB42.1 million, while the cash-flow statement and equity roll-forward show approximately RMB55.0 million.
  • Confirm the amount and terms of the RMB433.3 million of non-current “other debts,” including the related-party and warrant-linked components, and assess repayment obligations alongside borrowings and lease commitments.
  • Assess whether working-capital improvement is durable given continuing operating cash use and increased inventory and supplier prepayments.
  • Review VIE, cybersecurity, audit-inspection and dual-class governance exposures. Founders held approximately 82.6% of aggregate voting power at March 31, 2021.
