Business context and reporting period
Boqii Holding Limited filed this Form 20-F for the fiscal year ended March 31, 2022, not for a standalone 2021 fourth quarter. Accordingly, the filing does not provide a clear standalone Q4 2021 financial result. Boqii operates a China-focused pet-products e-commerce, content and offline-distribution business; its financial statements are prepared under U.S. GAAP.
The Cayman Islands holding company conducts much of its China business through subsidiaries and variable interest entities (VIEs). VIEs generated 78.7% of FY2022 net revenue. ADSs trade on the NYSE under BQ; each ADS represented 4.5 Class A ordinary shares following a ratio change effective June 3, 2022.

Material changes versus FY2021
- Revenue growth slowed from 31.3% in FY2021 to 17.4% in FY2022; reported GMV grew 19.4%, to RMB2,907.2 million.
- Gross margin recovered from 18.5% to 20.5%, while operating expenses fell 3.3% to RMB381.3 million. General and administrative expense declined 33.1%, mainly because share-based compensation fell to RMB11.7 million from RMB42.1 million.
- Sales and marketing expense rose 6.7% to RMB171.0 million, but declined as a share of revenue from 15.8% to 14.4%. Fulfillment expense rose 11.5% to RMB134.0 million, while its revenue share fell from 11.9% to 11.3%.
- Cash and cash equivalents fell by RMB129.4 million during FY2022. Operating cash outflow remained substantial despite the narrower net loss.

Outlook, risks, contingencies and unusual items
Management gave no quantified revenue or earnings guidance. It said existing cash, cash equivalents, short-term investments and borrowings were expected to cover anticipated needs, including working capital and capital expenditures, for at least 12 months. The company reported no expectation of significant capital expenditures in the foreseeable future, while noting it may seek additional debt or equity financing. It reported no dividend plan for the near future.
- Going-forward execution and liquidity: Boqii has a history of losses, negative operating cash flow and significant working-capital needs. It plans to manage working capital, develop prepaid memberships, negotiate supplier terms and explore supply-chain financing. Additional financing may not be available on acceptable terms.
- VIE and China regulatory exposure: The company does not own the VIEs, which generated most revenue. Contractual control arrangements have not been tested in a PRC court, and changes in PRC rules or enforcement could limit control, disrupt operations or prevent consolidation. Overseas-listing and cybersecurity-review requirements remained uncertain in the filing.
- Trading and governance risks: The auditor was among firms the PCAOB said it could not fully inspect; the filing described possible HFCAA trading restrictions. Boqii also received an NYSE market-capitalization/equity deficiency notice in April 2022 and submitted a compliance plan. A separate share-price deficiency was addressed through the ADS ratio change; the NYSE notified the company on July 1, 2022 that it no longer failed the $1 price criterion.
- Internal controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at March 31, 2022. Two material weaknesses involved insufficient qualified U.S. GAAP/SEC reporting staff and inadequate documented closing procedures, particularly logistics expense cutoff/accruals and vendor rebate accruals. Remediation was underway; the filing says the auditor did not attest to internal-control effectiveness.
- Operating and market risks: COVID-19 restrictions affected delivery, orders, offline-store traffic and supply chains. Other risks include competition and price sensitivity, reliance on third-party e-commerce and delivery platforms, product quality and returns, customer acquisition costs, and dependence on brand partners. The company stated it does not carry product-liability insurance.
- Unusual items and contingencies: FY2022 other gains included RMB5.3 million of foreign-exchange gains and RMB1.5 million of depositary-bank reimbursement. Share-based compensation was RMB14.4 million in the cash-flow reconciliation. The company disclosed a RMB100,000 fine related to illegal information published or transmitted on its Boqii Pet app. It reported no material pending legal or administrative proceedings and no material capital commitments at year-end.
Important facts investors should verify
- Confirm the reporting-period mismatch: this is an annual report for the fiscal year ended March 31, 2022, not a standalone 2021 Q4 filing.
- Review the audited statements and cash-flow details, especially continuing operating cash outflows, lower cash balances, short-term borrowing growth and the composition and repayment terms of other debt.
- Track whether the two material control weaknesses are remediated and whether financial close and accrual estimates become more reliable.
- Assess VIE enforceability, PRC regulatory approvals and the ability to move cash from operating entities to the offshore parent.
- Check current NYSE listing status and PCAOB inspection developments, as the filing’s delisting timelines and regulatory descriptions reflect conditions and proposals at the time of filing.
- Consider the dual-class structure: founders held about 19.0% of issued share capital but 82.4% of aggregate voting power at March 31, 2022.
