- Cash and liquidity: At September 30, cash and cash equivalents were $17.98 million, with restricted cash of $0.18 million; there were no short-term investments. Working capital was $13.57 million and the current ratio was 2.67, down from 19.89 at December 31, 2022.
- Cash flow: Nine-month operating cash use was $27.91 million, versus $6.08 million in 2022. Investing activities provided $24.46 million, primarily reflecting $22.76 million of Treasury bill maturities and $2.70 million of cash acquired with Viewpoint. Financing activities provided $0.43 million.
- Debt: Notes payable totaled $1.74 million, mainly a 6.15% property-secured note assumed from Viewpoint, with a $1.52 million balloon payment due in December 2027. Total liabilities were $11.75 million.
Material changes versus the prior comparable period
- Q3 revenue increased 27%, partly because the prior-year quarter included an isotope-supply interruption and because 2023 included $0.28 million of grant revenue from Viewpoint. Nine-month revenue declined 11%; product sales fell 27%, partly offset by $1.10 million of grant revenue.
- Nine-month prostate brachytherapy revenue fell 42% to $2.97 million. Management attributed much of the decline to a historically large customer, the company’s former medical director’s practice, placing no orders since isotope supply resumed in 2022. Q3 prostate revenue was up 3% year over year, while other revenue increased 78%.
- Gross margin improved in Q3 but declined for the nine-month period. The year-to-date decline reflected lower sales, a $0.30 million write-off of discontinued Blu Build loading-device inventory, and higher isotope costs, partly offset by grant revenue.
- Research and development expense rose to $15.23 million for nine months, from $2.05 million, mainly because Viewpoint’s drug-development operations were added. General and administrative expense rose to $16.79 million from $6.28 million, including Viewpoint costs, merger-related change-of-control payments, and $4.6 million of acquisition transaction costs.
- The February Viewpoint acquisition was funded primarily with 136.5 million Perspective shares, approximately 49% of fully diluted capital at the time. The provisional purchase-price allocation included $50 million of in-process R&D intangible assets and $27.3 million of goodwill. Shares outstanding increased to 280.57 million from 142.11 million at year-end 2022.
Outlook, commentary, risks and unusual items
- Going concern: Management stated that substantial doubt exists about the company’s ability to continue as a going concern for one year from issuance of the financial statements. It expected September 30 cash to fund operations and capital expenditures only into late Q2 2024, and said cash was not sufficient for at least the next 12 months from issuance. Management’s proposed mitigations include increasing brachytherapy revenue, deferring projects and capital spending, licensing assets, strategic alliances and third-party funding; it said these plans do not alleviate the substantial doubt.
- Management expects continued investment in drug development and stated that company-wide cash-flow break-even may not be possible within the next three to four years. The alpha-therapy business remains pre-revenue; product candidates require further clinical development and additional capital.
- Customer concentration is significant: two customers represented approximately 41% of nine-month revenue, including GT Medical Technologies at 23.9%. Management cautioned that losing either major customer could materially affect revenue. GT Medical sales were about 24% of Q3 and nine-month sales.
- Clinical commentary included early results for VMT-α-NET: initial responses were reported in 7 of 9 evaluable patients in a small investigator-initiated study. These preliminary findings are not evidence of established efficacy. The company also reported that three patients had been dosed in the first VMT01 cohort, with no serious adverse events or dose-limiting toxicities observed to date. In November 2023, after quarter-end, the company announced the first patient dosed in a U.S. VMT-α-NET Phase 1/2a trial.
- The Viewpoint purchase-price allocation remained provisional and could change. The company recorded a $10.5 million deferred tax benefit for the nine-month period related to temporary differences associated with the acquisition; it anticipated a 0% effective tax rate for 2023.
- A $0.20 million estimated liability for merger-related stockholder claims remained unchanged. Separately, federal and California authorities investigated allegations related to payments to the former medical director. The federal government declined to intervene, and the California Department of Insurance said it would not pursue action on the same allegations. After quarter-end, on November 8, 2023, the complainant filed to dismiss the qui tam complaint without prejudice, with government consent.
Important facts for investors to verify
- Cash burn, financing options and whether the company can secure capital before its stated cash runway expires; any financing could dilute shareholders.
- Whether brachytherapy revenue can recover and customer concentration can be reduced, particularly given the former large customer’s continued lack of orders and GT Medical’s material contribution.
- Clinical-trial enrollment, safety and efficacy evidence for VMT-α-NET and VMT01, including whether preliminary results are confirmed in company-sponsored trials.
- Final purchase-price allocation for Viewpoint and the cost trajectory of integrating and developing its pipeline.
- Updates on the dismissed-without-prejudice qui tam matter and any remaining legal or regulatory exposure.
