CAVA same-restaurant sales growth comprised 10.4% guest-traffic growth and 7.5% menu pricing and product-mix effects.
Consolidated operating income was $4.7 million versus an operating loss of $59.8 million in fiscal 2022. Restaurant operating expenses declined to 75.3% of revenue from 82.6%, while general and administrative expenses increased to $101.5 million from $70.0 million. Equity-based compensation was $9.6 million, versus $4.0 million in the prior year.
Cash provided by operating activities was $97.1 million, compared with $6.0 million in fiscal 2022. Capital expenditures were $138.8 million, primarily for restaurant development, the Verona, Virginia production facility and technology. Cash and cash equivalents increased to $332.4 million from $39.1 million, largely due to IPO proceeds.
CAVA had no outstanding borrowings under its credit facility at year-end and had $98.3 million of available borrowing capacity, including the delayed-draw facility. The facility matures in March 2027 and contains customary covenants, including leverage requirements; the company was in compliance at year-end. Operating lease liabilities totaled $336.2 million, with $435.5 million of undiscounted future operating lease payments. The company believes operating cash flow, cash on hand and available credit will fund anticipated requirements for the next twelve months and foreseeable future.
Material changes versus the prior comparable period
- The restaurant base increased from 237 to 309 CAVA restaurants, with 72 net new openings in fiscal 2023.
- The Zoes Kitchen conversion strategy concluded on October 20, 2023, and the company no longer operated Zoes Kitchen locations after March 2, 2023.
- Food, beverage and packaging costs declined to 29.3% of consolidated revenue from 31.9%, while labor declined to 25.7% from 28.0% and occupancy declined to 8.0% from 9.5%.
- Restaurant-level margins benefited from lower input costs, favorable premium-menu mix and sales leverage, partially offset by additional wage investments in the fourth quarter.
- Impairment and asset disposal costs decreased to $4.9 million from $19.8 million, primarily because prior-year costs were associated with Zoes Kitchen closures.
- Pre-opening costs decreased to $15.7 million from $19.3 million, while general and administrative expenses increased due to growth investments, higher incentive and equity compensation, public-company costs and legal accruals.
- Future restaurant openings are expected to require higher capital spending because the lower-cost Zoes Kitchen conversion opportunity is complete; management also expects a significant portion of future openings to include drive-thru pickup capabilities.
Guidance, outlook, commentary and risks
The filing does not provide a clear formal numerical revenue, earnings or restaurant-opening guidance range. Management states that it believes there is potential for more than 1,000 U.S. CAVA restaurants by 2032 and expects future growth to rely primarily on greenfield openings. The company commenced operations at a new 55,000-square-foot Verona, Virginia production facility in February 2024; together with the Maryland facility, management expects production capacity to support at least 750 restaurants and the CPG business, subject to execution and additional investment.
- Major operating risks include competition, site availability, construction and permitting delays, restaurant cannibalization, food and labor inflation, minimum-wage increases, labor shortages and retention challenges.
- Supply-chain concentration, reliance on third parties, commodity volatility, adverse weather and disruptions at production facilities could affect product availability, costs and margins.
- Digital operations represent a substantial portion of sales and depend on the CAVA app, online ordering, third-party delivery providers and other technology vendors. Cybersecurity, privacy and system outages remain material risks; management reported no cybersecurity incident that had materially affected the company as of the filing date.
- Food-safety incidents, recalls, negative social-media publicity and changes in customer preferences could damage the brand and reduce sales.
- The company faces ongoing PFAS-related litigation and consumer-protection claims concerning packaging and marketing. Management believes pending proceedings are not currently expected to be material, but has recorded an immaterial accrual and notes that insurance coverage may not fully cover potential damages.
- The company has significant lease commitments and all restaurants are leased. Operating lease costs represented 8.2% of fiscal 2023 revenue.
- The company has substantial federal and state net operating loss carryforwards, but maintains an $83.7 million valuation allowance against deferred tax assets, indicating uncertainty regarding realization.
- CAVA does not plan to pay cash dividends for the foreseeable future and expects to retain earnings for expansion and working capital.
