  • Gross margin was approximately 43.5%, versus 44.6% in 2021; operating margin was approximately 28.3%, versus 31.6%.
  • Blanket produced 80,775 ounces, up 19.7%, on 752,033 tonnes milled, up 13.0%. Average realized gold price increased to $1,772/oz from $1,766/oz; recovery was 93.8% versus 93.9%.
  • Production costs rose to $63.0 million from $53.1 million. On-mine cost was $735/oz, down from $742; all-in sustaining cost (AISC) increased to $878/oz from $856. These are non-IFRS measures.
  • Investing cash outflow was $44.6 million, including $41.5 million for property, plant and equipment and $2.6 million for exploration and evaluation. Financing cash outflow was $12.5 million. Cash and cash equivalents fell by $14.5 million net of overdrafts.

Liquidity, debt and capital

At year-end, cash and cash equivalents were $6.7 million, including $2.0 million of restricted cash, and overdrafts were $5.2 million. The company also recorded $7.1 million of Motapa acquisition loan notes, carrying a 13% interest rate. Thus, reported year-end cash less these borrowings implies net debt of about $5.6 million. Working capital was positive at $6.0 million, down from $35.2 million in 2021. Total equity was $193.5 million.

Management said available working capital and future operating cash flows were expected to meet capital needs and adopted the going-concern basis. The company spent $21.0 million on Blanket capital development in 2022. It expected Blanket to invest approximately $30.9 million in 2023, with a further $4.1 million planned for Bilboes oxide, Bilboes, Motapa and Maligreen. The solar plant cost approximately $14.3 million and was fully commissioned in February 2023.

Material changes and significant items

  • Record Blanket output exceeded revised 2022 guidance of 75,000–80,000 ounces. Higher tonnage and grade drove the production increase.
  • Profit declined slightly despite higher revenue, reflecting higher production, depreciation, administrative and other expenses. Other expenses included an $8.2 million impairment, predominantly for Blanket development areas above 750 metres not included in the current life-of-mine plan. A $0.5 million Connemara North impairment and $0.6 million inventory write-down were also recorded.
  • Net foreign exchange gain was $4.4 million, including a $12.7 million unrealized gain and $8.3 million realized loss. Management attributed a substantial part of the unrealized gain to the effect of Zimbabwe’s currency rules on deferred tax liabilities; this is not equivalent to operating cash generation.
  • Caledonia completed the Bilboes Gold acquisition on January 6, 2023, after year-end. Consideration included 5,123,044 shares and a 1% net smelter royalty; the filing valued the consideration shares at up to approximately $65.7 million, subject to completion adjustments and share issuance conditions. Bilboes oxide mining began in December 2022 under a tribute arrangement.
  • In March and April 2023, the company placed 1,207,514 shares, raising approximately $16.6 million before expenses. Solar-plant bonds totaling $7 million were also issued after year-end at 9.5% interest, guaranteed by the company.
  • The quarterly dividend was maintained at 14 cents per share through 2022. Dividends declared to company shareholders totaled $9.0 million; $1.8 million remained payable at year-end.

Guidance, outlook and risks

  • For 2023, consolidated production guidance was 87,500–97,000 ounces: 75,000–80,000 from Blanket and 12,500–17,000 from Bilboes oxide.
  • 2023 consolidated on-mine cost guidance was $900–$1,000/oz and AISC guidance was $1,150–$1,250/oz, excluding community and social responsibility costs. Blanket on-mine cost guidance was $770–$850/oz; Bilboes oxide guidance was $1,200–$1,320/oz.
  • Management cited the solar plant and power-efficiency investments as measures to reduce reliance on grid power and diesel. The solar plant was expected to supply about 27% of Blanket’s average daily electricity demand. Improved utility supply and potential power imports remained under discussion, with no new ZESA agreement concluded by report approval.
  • Key exposures include Zimbabwe political, regulatory, currency and foreign-exchange repatriation risks; gold-price and input-cost volatility; dependence on Fidelity for gold sales and payment; and water and electricity availability. The RBZ’s February 2023 change standardized the export-retention threshold at 75% and ended the incremental export incentive, changing expected US-dollar receipts.
  • Two mine fatalities were reported: one in February 2022 and another in February 2023. The filing also identifies operational, environmental, permitting, labor, illegal mining, reserve-estimation and project-development risks. Management stated that COVID-19 effects appeared to be diminishing, while acknowledging forecasting uncertainty.

Investor facts to verify

  • Reconcile year-end cash, restricted balances, overdrafts and Motapa loan notes with subsequent solar bonds and updated overdraft facilities.
  • Track the RBZ’s export-retention rules, access to foreign currency, remittance approvals and the company’s ability to transfer cash out of Zimbabwe.
  • Verify delivery against 2023 production and cost guidance, especially the Bilboes oxide ramp-up and its cash-generation assumptions.
  • Review the Bilboes consideration-share adjustments, outstanding share issuances, 1% royalty terms and dilution from the 2023 placing.
  • Assess the $8.2 million impairment, Blanket reserve assumptions and capital requirements, including planned 2023 mine and project spending.
  • Confirm whether the solar plant delivers expected availability and diesel savings, and monitor mine safety, water supply and power interruptions.
